    Howmet Aerospace Inc. ("Howmet") is currently in search of an ASSOCIATE COUNSEL - COMMERCIAL to join the Legal organization in PITTSBURGH, PA. This position will report to and work closely with the Senior Counsel - Commercial, M&A and Legal Operations in providing legal support to the Company on a wide variety of commercial contra cts and other matters, supporting a number of the Company's business units and resource units. The role is expected to autonomously handle commercial contracts in the sales, procurement, and other commercial and transactional areas, and to provide support on mergers & acquisitions activities and trade compliance matters as needed.

    MAJOR ACTIVITIES / KEY CHALLENGES:

    • Draft, edit and negotiate various commercial contracts, including but not limited to long term supply agreements and purchasing documents, and provide legal guidance to the Company's business and resource units on business and strategy matters.
    • Demonstrate knowledge and a working understanding of international trade rules and regulations. This may include, but is not limited to, working with trade compliance leads to ensure import and export laws of the countries where we do business remain in full compliance, in a manner that is consistent with Howmet's values.
    • Work on all aspects of a merger, acquisition, or disposition transaction, including but not limited to data room due diligence, competition filings, as well as drafting stock purchase agreements and transition services agreements.
    • Counsel and conduct preventive law training in areas such as anti-corruption, sales terms and conditions, procurement contracts, and other areas as requested.
    • Provide practical legal advice and guidance on accomplishing business objectives while managing legal risk and cost.
    • Coordinate with Regional Legal Counsel and Resource Unit Counsel to provide legal services efficiently and effectively to the Company's global business units.
    • Develop a wide variety of general commercial counseling skills by being able to identify and analyze issues in areas such as government contracts, antitrust, and data privacy.
  • Qualifications

    JOB QUALIFICATIONS BASIC QUALIFICATIONS:

    • Law degree (JD) from a law school accredited by the American Bar Association (ABA) and is currently a member in good standing of the bar of a State, a Territory of the United States, or the District of Columbia.
    • Minimum 4 years as a practicing commercial lawyer working for a law firm or corporate legal department handling sales, procurement, M&A and other commercial matters.
    • Employees must be legally authorized to work in the United States. Verification of employment eligibility will be required at the time of hire. Visa sponsorship is not available for this position.
    • This position entails access to International Traffic in Arms Regulations (ITAR) controlled items and employment offers are conditioned upon an applicant's ability to lawfully obtain access to such items.

    PREFERRED QUALIFICATIONS:

    • Minimum 4 years of experience as a practicing commercial lawyer working for a law firm or corporate legal department handling sales, procurement, M&A, and trade compliance matters.
