    THE OPPORTUNITY

    As a Senior Corporate Counsel at Xactly Corporation, you'll report to our General Counsel and own your own sales region and several key business functions on behalf of the legal department. Your integral work will support the growing company's international business and negotiate a variety of business and technology agreements. Candidates should have experience working in a corporate legal or contracts department of a SaaS software provider and be comfortable in a fast-paced environment. You will quickly become a subject matter expert and build relationships with your own set of internal business clients, as well as work directly with vendors and customers.

The legal team is very respected and highly regarded in the organization. We hold a reputation for being creative problem solvers who skillfully and clearly guide risk-based decisions. The annual legal survey of our internal clients often reports that we are the best legal team that they have ever worked with.

    THE SKILL SET:

    • 5-8 years of in-house legal experience preferred with consideration of equivalent transactional-based law firm experience, with at least 2 of those years working at a SaaS based software company
    • Negotiate information technology contracts, including software licenses, software subscription, SaaS subscription, reseller, OEM, professional services, statements of work, maintenance, subcontracting, hardware purchase, and nondisclosure agreements
    • Assist the General Counsel tasked with resolving critical issues and closing open contract terms under quarter-end and year-end deadlines
    • Analyze contract terms against industry best practices and company policy, then advise the business unit of the risks and mitigate those risks to achieve business objectives
    • JD degree from an ABA-accredited law school
    • Admission to the bar and in good standing and eligible for in-house corporate counsel or a single client
    • Experience with U.S. and international software licensing contracts and negotiation process
    • Familiarity with software contract life cycle from pre-to-post award
    • CIPP - Privacy certification helpful and Data Processing Agreement negotiation experience preferred

    WITHIN ONE MONTH, YOU'LL

    • Get your bearings and begin to build a strong foundation of knowing the people, paper and process at Xactly
    • Build strong relationships with internal business partners including the Regional Sales VP for Central and key members of Engineering, Products, Facilitates, Real Estate, IT, Revenue Operations, and Customer Success

    WITHIN THREE MONTHS, YOU'LL

    • Have a strong understanding of the business, and begin teaching us a thing or two we don't know
    • Close your first quarter supporting your own sales region while gaining trust, credibility, and confidence with the revenue ops team
    • Demonstrated ability to work independently, meet tight deadlines, stay mission-focused, get things done, and work efficiently in an international team environment
    • Be able to communicate clearly and ask concise questions involving complex technologies to obtain the answers from business partners and make a recommendation based on experience and competent legal advice

    WITHIN SIX MONTHS, YOU'LL

    • Begin to implement the vision for change/impact that you have been developing over the past 6-months
    • Suggest changes to improve the legal process and be held accountable for monitoring legal metrics
    • Maintain a high level of organization attention to detail and ability to manage multiple simultaneous projects under deadline pressures with the support of an amazing legal team

    WITHIN TWELVE MONTHS, YOU'LL

    • Be seen as a well-versed, trusted business advisor and expert, making a significant positive impact company-wide
    • Identify further personal education opportunities to increase your legal and business acumen
    • Be known as a creative problem solver with results-oriented focus and passion to solve complex problems in a creative and practical way that balances legal risk and enables business objectives

    Pay: $125,000 - $130,000 + Semi Annual Bonus

    Final pay determinations, salary ranges and pay increases are established by the employer. The ranges are an estimate based on potential employee qualifications, operational needs, and other considerations permitted by law. They are based upon a combination of local industry benchmarks, budget, experience, and internal comparisons. Salary ranges allow for growth opportunities as the employee develops new skills, and/or hones current skills.
