    About the Position : PATH is recruiting for an experienced life sciences attorney with significant research, product development and commercialization experience to join the Legal, Awards, Research and Compliance Division. PATH is known for its successful public-private and product development partnerships. Succeeding at these partnerships requires legal professionals who are passionate, creative, pragmatic, smart and possess excellent judgment. The Senior Counsel role provides comprehensive legal services that enable sound and strategic decision-making, strong and effective partnerships, and achievement of organizational priorities in an ever evolving and complex environment. The ideal candidate has a background in vaccine and drug-related research, public/private partnerships, healthcare, and/or public health. This individual will work closely with program leaders and project teams pursuing global health equity by accelerating the development of, and optimizing the delivery of, safe, effective, and affordable drugs, vaccines, devices, diagnostics, and other healthcare-related interventions against diseases that disproportionately burden people living in the low and middle-income communities around the world.

    About the Legal, Awards, Research and Compliance Division : The Legal, Awards, Research and Compliance Division team currently includes over 30 legal, research, grants, and risk and compliance management professionals. It supports PATH’s mission of bringing health equity to all by serving as a trusted advisor and providing strategic advice and support services that facilitate innovation and collaboration while enhancing compliance and risk management.

    Essential Responsibilities for this Position :

    • Act as responsible attorney for assigned program portfolios, providing pragmatic legal counsel and strategic advice regarding collaborations and other transactional structures, intellectual property matters and risk assessments.

    • Collaborate with program teams to establish strong and effective partnerships to support PATH’s mission.

    • Draft product development partnership agreements supporting vaccine, drug and other essential medicines development and commercialization, including research agreements, clinical study agreements, license agreements, services agreements, and manufacturing and commercialization agreements.

    • Draft collaboration agreements with public and private sector partners, multilateral organizations, and academic institutions to facilitate development and enhancement of public health systems and strategies, including qualitative, observational and surveillance research and data management and analysis.

    • Team with project leaders and commercialization officers to negotiate agreement terms, aligning with PATH’s mission, policies and effective stewardship of PATH’s resources and ensuring compliance while enabling innovation.

    • Assess client legal support needs and partner with assigned legal team members to ensure timely and effective provision of legal services.

    • Provide legal consultation for PATH’s Office of Grants and Contracts team regarding grants/awards and outgoing agreements such as subawards and subcontracts.

    • Leverage document management systems, e.g., Salesforce, to manage agreement process workflow.

    • Undertake and document research related to implementing transactions and initiatives.

    • Contribute to Legal Affairs projects, including client education and resources development, knowledge management systems and templates, playbooks, and clause bank.

    • Manage outside counsel in coordination with General Counsel.

    Required Skills

    Required Experience

    • Juris Doctor (or equivalent in applicable country) and licensed to practice law in one or more jurisdictions

    • 15+ years as a practicing attorney with at least 7 years supporting clinical trials and/or other human subject research and 7 years as in-house counsel, preferably in a multinational or international organization

    • In-depth understanding of scientific/intellectual property driven transactions, particularly related to pharma/life sciences, technology development, and/or public-private partnerships

    • Ability to think strategically and establish trusted advisor relationship with clients

    • Flexible and analytical thinker able to quickly and accurately identify legal issues in complex relationships and develop solutions by consistently demonstrating sound and confident judgment in ambiguous situations

    • Demonstrated ability to work efficiently and to effectively manage competing priorities in a fast-paced environment

    • Self-starter who collaborates well in a matrixed organization and within cross-functional groups

    • Well-established results orientation and client/partner focus

    • Outstanding communication skills including proven ability to synthesize and clearly convey legal concepts and provisions to non-attorneys

    • Substantial client counseling experience with track record of effectively helping clients identify strategic goals, prioritize key issues, and find (and document) pragmatic and sustainable solutions to fulfill program needs in a wide range of transactions

    • Adept with respectfully managing divergent views and facilitating difficult decision-making

    • Desire and strong ability to collaborate as part of a team and with diverse groups and cultures

    • Experience working with scientists or other technical clients as well as interacting directly with senior leadership

    • Well organized, flexible attitude, and a desire for continuous learning environment

    • Ability to travel domestically and internationally if needed

    • Must have legal authorization to work in the country of application (United States, Switzerland or Kenya)

    We offer our employees a competitive salary and generous benefits. For candidates based in the U.S., the annual salary range for this position is $144,000-$190,000. The final salary is based on a variety of objective factors.

  • Qualifications

    Required Skills:

    • 5+ years of multistate payroll processing experience with expatriate processing a plus.
    • Well versed in processing payroll with preference for UKG
    • Experience and proficiency with Microsoft Office products especially Excel
    • Experience using and extracting data from SAP or comparable ERP system for accounting
    • Implement projects across functions and geography
    • Total experience in analytical role 5+ years
    • Experience working with outsource provider and outsourcing a plus
    • Manufacturing experience a plus
    • Work is generally performed within an office environment.
    • While performing the duties of this job, the employee is regularly required to sit, stand, bend, walk, use hands or fingers, talk, hear, feel objects, tools, or controls; may be required to lift up to 15 pounds. Vision abilities include close vision to a computer screen.
    • Travel greater than 50 mile radius is infrequent and less than 5%
