Education : Bachelors Degree Experience : 24 Hours per Week : 40 Description : The Cayman Trust Officer Institutional role will be located in the Boston or New York office and perform a variety of functions for Brown Brothers Harriman Trust Company (Cayman) Limited ( BBHTCC ) in its role as trustee of Cayman Islands Unit Trusts, with particular emphasis on the trustee s responsibilities relating to fund launches and terminations. The Trust Officer Institutional should possess the ability to work with minimal supervision, exercise good judgement and shall demonstrate strong communication and negotiation skills in order to interact with internal and external constituencies, including investment managers. AREA OF RESPONSIBILITY 1. Documentation Initiation/Review * Draft and negotiate Investment Management Agreements, Prospectuses, Trust Deeds, Subscription Documents and coordinate with internal and external counsel. * Assist in developing and maintaining template IMAs and Prospectuses annotated to show various acceptable positions. 2. Ongoing Monitoring/ Regulation/ Governance * Review launch resolutions and CIMA mutual fund filings. * As required by CIMA, review the offering documents for each fund to ensure that the investment strategy and conflicts of interest are clearly described and that the offering documents describe the equity interests in all material respects and contain other information to enable a prospective investor to make an informed decision. * Assist in matters relating to fund governance, including participating in meetings with investment managers and due diligence meetings with service providers. * Keep up to date on Cayman Islands industry developments and other regulatory developments applicable to investment funds 3. Client Communications * Negotiate investment management agreements with external investment management clients and discuss Cayman requirements with such clients * Inform external clients of developments in Cayman Islands law and other regulatory matters and work directly with clients to develop solutions. 4. Global Collaboration/ Coordination * Coordinate with implementation team in Tokyo on timeline and fund launch plans. * Participate in periodic calls with Tokyo colleagues regarding fund launches and pipeline. * Serve as key point of contact for internal BBH groups (Fund Accounting, Custody, Financial Reporting and Transfer Agency) and external clients (Investment Managers) with regards to fund launches, terminations, account openings and daily inquiries pertaining to funds. EDUCATION LEVEL AND/OR RELEVANT EXPERIENCE(S) * BA/BS degree * 2-5 years of financial services experience * Prior legal experience preferred * JD Preferred KNOWLEDGE AND SKILLS (GENERAL AND TECHNICAL) * Proven ability to work effectively with various internal and external constituencies and to independently face off with such groups. * Highly organized, detail oriented. * Ability to prioritize, take initiative and bring projects to a conclusion. * Ability to effectively use judgment to make decisions and escalate issues when necessary. * Ability to understand, review and negotiate legal documents.
