    Capital One’s Commercial Bank is on a mission to reimagine B2B (Business to Business) Payments - and we need best-in-class legal talent to support the creation and maintenance of products and services to transform the commercial banking industry.  B2B Payments is one of the fastest growing product categories in the financial sector.  A great opportunity exists for an experienced professional to join the legal team for Capital One’s Commercial Bank supporting our B2B Payments team, a fast-paced, strategically forward thinking team focused on transforming B2B Payments. You’ll be a key player in supporting this team by counseling on the creation and maintenance of a suite of treasury management, commercial credit card and other business to business payables, receivables and liquidity products and services for our commercial customers. You will work side-by-side with key business partners to seamlessly develop legal solutions to complex business problems.   And you’ll do it all in a collaborative, supportive environment that values your insight, promotes continuous learning, and rewards creative thinking.  

    Representative responsibilities include:

    • Advise clients, including, bankers, product development, risk, compliance, operations and other associates across the Commercial Bank lines of business with complex legal issues relating to our treasury management (receivables or liquidity management), commercial credit card and other B2B payables products and services

    • Collaborate with subject matter experts and other stakeholders as part of risk management  

    • Manage and coordinate outside counsel, when necessary 

    • Review, draft, negotiate, and advise on various commercial agreements in support of line of business initiatives, including customer-facing contracts

    • Facilitate the development of, and support the internal approval and new product introduction processes for, new treasury management (receivables or liquidity management), commercial credit card and other B2B payables products and services 

    • Escalate issues, as appropriate, and partner collaboratively to identify issues and share potential concerns and ideas with other legal teams across the enterprise

    • Review internal and external marketing materials

    • Work with business units to develop new, and update existing, terms and conditions and other documentation to address new industry or other developments

    • React quickly to bank customer needs, including advising on customer facing matters (including talking points and customer communications) to minimize risk

    Our ideal candidate will have the following experience and skills:

    • Flexibility to work effectively both in teams and independently, simultaneously manage a wide range of multiple matters, make effective decisions and collaborate with and influence clients

    • Ability to work effectively in a fast-paced environment with minimal supervision with complex legal and regulatory issues that may arise suddenly and require quick resolution

    • Strong negotiation and drafting skills 

    • Exceptional organizational skills with impeccable attention to detail

    • Excellent analytical, oral and written communication skills

    • Willingness to take on new responsibilities, and handle novel issues

    • Ability to build collegial and effective relationships with business colleagues, attorneys, paralegals, and administrative assistants at all levels of the company

    • Ability and desire to understand, explore and solve complex legal and business issues

      

    Basic Qualifications: 

    • Juris Doctor from an accredited law school

    • Active member in good standing of at least one state bar

    • At least 3 years of experience in a law firm, government or an in-house legal department or in-house procurement experience involving contract creation and negotiation, or a combination

    Preferred Qualifications:

    • At least 4 years of experience providing advice and counsel on products, services and transactions to clients in the financial services industry across a broad range of commercial banking treasury management (receivables or liquidity management), commercial credit card and other B2B payables products and services (i.e., ACH, wire transfers, lockbox, positive pay, remote deposit, positive pay, deposit accounts, integrated payables, payments as a service, and plastic and virtual credit cards for business customers) 

    • Familiarity with Reg CC, UCC 4A, Nacha Rules, Card Association Rules, Reg II, and/or other laws and regulations applicable to payment systems, cash management services and other commercial banking treasury management, commercial credit card and other B2B payables products and services

    • Demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels to work collaboratively to resolve issues across organizational boundaries

    • Proven ability to operate effectively in a complex, highly regulated, and evolving environment
