JOB DESCRIPTION:

SVB is currently seeking candidates for the position of Counsel (or other title depending on experience) to support and advise on corporate securities and general public company compliance matters . The successful candidate must have public company experience and knowledge of applicable laws and regulations, including applicable SEC rules and regulations and NASDAQ listing standards. Experience working with or for a bank holding company or other regulated business is preferred.

While this position is ideally located in California (San Francisco) or New York (New York City), there is flexibility to consider candidates in other locations near an SVB U.S. office.

The position will report to the Senior Counsel covering corporate securities and public company.

Primary Responsibilities:

• Advise on public company and corporate securities law matters and related compliance, including SEC reporting, NASDAQ compliance, and public disclosures;

• Work closely with the Finance and Investor Relations team on financial reporting and disclosures, including earnings releases, Form 10-Q and 10-K reports and investor or credit rating agency presentations;

• Provide legal support for capital markets and capital raise transactions, including deal execution;

• Provide legal support for public disclosures, including Form 8-K reports;

• Provide legal and governance support for the Audit Committee of the Board of Directors;

• Assist with other financial disclosures required under applicable bank regulatory or other requirements;

• Advise on securities-related matters in connection with equity incentive, deferred compensation and other compensation plans; and

• Assist with M&A transactions and bank regulatory matters, as needed.

Skills/ Qualifications:

• 2 to 6 or more years of experience (either in-house, law firm or federal banking regulator) 

• J.D. from a top tier school and excellent academic credentials 

• Active membership in good standing in at least one state bar, preferably California or New York

• Flexibility, empathy and adaptability, which will allow you to collaborate effectively with colleagues in Legal, the business and our compliance and risk functions to implement practical, risk-calibrated solutions.

We expect you to take ownership of matters to which you are assigned, seize the initiative to engage with colleagues within Legal and across the organization, seek out additional information relevant to the task at hand, ask hard questions, and provide great legal counsel for the issues at hand as well as those you see around the corner. 

• Discipline. Our success depends on our ability to execute as a team, so we must be able to depend on your ability to reliably memorialize guidance and analysis delivered to the business in the course of building and implementing solutions.

BASE PAY:

$190,858.00 - $221,085.00

Actual starting base pay will be determined on skills, experience, and other non-discriminatory factors permitted by law. Total compensation may also include variable incentives, bonuses, benefits, and/or other perks, as outlined in any formal offer made.
