Director & Counsel, Corporate Securities
The Corporate Securities Group of the General Counsel’s Organization is seeking a Director & Counsel to provide key legal support on corporate securities and transactional matters and other related initiatives. The position will work closely with business clients in Corporate Treasury and the Center for Community Development as well as legal professionals in the GCO to provide legal advice on a wide range of corporate transactions and financings.
RESPONSIBILITIES
How will you make an impact in this role?:
Provide legal and strategic counsel on a wide range of corporate transactions and disclosure issues
Represent the company and work closely with the Corporate Treasury team on capital markets transactions and financings, including asset-backed securitizations, credit facilities, share repurchases and derivatives and other market transactions
Advise on intercompany transactions, borrowings and investments, legal entity lifecycle management, drafting agreements and key governance documents
Support enterprise’s Community Reinvestment Act investments, including tax credits and equity investments
Monitor, review and advise colleagues worldwide on key regulatory issues and trends in the evolving securities space
Collaborate with colleagues within the GCO and across the enterprise
Manage outside counsel, including oversight of legal budgets and forecasts, and counsel selection
QUALIFICATIONS
Minimum Qualifications:
Bachelor’s degree & J.D.
Admitted to New York Bar or eligibility to do so
5+ years' in-house and/or law firm experience in one or more of: securities, capital markets, structured finance, corporate finance
A positive attitude, growth mindset and will to win
Preferred Qualifications:
Interest in developing a deep understanding of business needs and objectives with a close partnership with business clients
Independent and capable of managing and prioritizing competing demands while maintaining high attention to detail
Strong communication skills with the ability to explain complex legal matters clearly and concisely to non-specialists
Capacity to be agile and pivot appropriately when challenged with new information or evolving circumstances
Strong leadership skills and strong customer focus
Excellent collaboration and teamwork skills and ability to work well in cross-functional team settings
Willingness and flexibility to be a team player and take on new responsibilities and challenges
