The Legal Department of JPMorgan Chase & Co is responsible for the provision of legal services to the Corporation and is organized by practice groups that generally align with the Corporations lines of business and corporate staff areas. This structure encourages legal teams and businesses and staff areas to discuss legal, regulatory and business developments effectively and in a timely manner. The Technology Legal Practice Group, which reports to the Corporate and Regulatory Law General Counsel, provides legal coverage across all LOBs in the areas of Intellectual Property, Cybersecurity, Privacy, Technology Transactions, and Emerging Technologies. The Technology Legal Practice Group is currently seeking a highly motivated, results-oriented Documentation Specialist. Under the guidance and direction of the banks Legal counsel, this Documentation Specialist will primarily handle the drafting, negotiation and analysis of agreements for the acquisition of global and domestic technology products and services, including software licenses, market data and related support services. Amongst other responsibilities, the Documentation Specialist will: * Provide contract drafting, review, analysis and negotiation support in connection with a wide range of intellectual property-based vendor agreements including technology services, software, data, electronic trading services and professional services. * Serve as an essential business partner to business clients and to Sourcing/procurement professionals in reviewing and negotiating technology vendor agreements and market data licenses for financial research, securities pricing, analytics, ratings, valuations and other information. * Provide legal review and negotiation support to Corporate and Investment Bank (CIB) trading businesses providing electronic trading products and services to our customers and/or utilizing third party trading platforms on the customers behalf.

    • Administer issue escalations and track exception approvals across different negotiations. * Provide tracking on status of contracts by maintaining up-to-date transaction information and providing reporting as needed. * Analyze existing legal documents for conformance to the firms policies and procedures and regulatory requirements. * Provide guidance and subject matter expertise on documentation to internal business partners. * Communicate effectively with internal business partners. * Contribute to the development and maintenance of negotiation guidelines, training materials and procedures. * Perform legal research on technology, intellectual property and contractual issues, as needed Qualifications: * Undergraduate degree and minimum 2+ years experience in a law firm or corporate law environment or equivalent experience drafting and negotiating customized transactions with large multi-product global client base. MBA/JD and/or paralegal certificate desirable. * In-house experience in the financial services industry and/or technology industry desirable. * Experience in negotiating commercial contracts, preferably involving technology transactions with third party providers, including software licensing/support, software as a service, equipment purchase/maintenance, consulting, professional and other services agreements. * Familiarity with privacy, intellectual property, outsourcing, offshoring, contracting and related regulatory and risk environments desirable. * Strong analytical, problem-solving and legal research skills. * Strong business judgment and strategic thinking. * Proven ability to independently identify issues, analyze problems and provide viable solutions. * Excellent verbal, written, interpersonal, and organizational skills. * Ability to work under pressure, handle deadlines, and manage multiple tasks in a high performance environment. * Ability to follow up on assignments in a timely manner, exercise good business judgment and work accurately under pressure. * Ability to work independently and in a team environment. * Proficiency in Microsoft Word, Excel, Power Point and SharePoint desirable. * All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
