    Job Description

    Privia Health’s Legal Team is seeking a detail-oriented Paralegal who values executing with urgency. Reporting to the SVP, Associate General Counsel, you will be responsible for day-to-day operational, financial, governance and administrative items across the Legal Department.

    The role will require attention to detail, ability to meet tight deadlines, a positive attitude, collaboration, and strong multi-tasking skills to be able to drive and track multiple projects to completion.

    Primary Job Duties:

    • Assist the Legal Team in various public corporate governance matters and subsidiary management
      • Corporate records management
      • Company formations and necessary state filings
      • Monitor entity compliance calendar for federal, state and other filings
      • Assist in preparation of annual and ad hoc corporate resolutions and other corporate board matters
    • Assist attorneys with drafting legal documents/agreements
      • Prepare initial agreements based on templates
      • Submit for completeness, identify individuals, entities and organizations involved
      • Summarize project objectives and comments
      • Identify inconsistencies or missing information
      • Monitor and follow up on target deadlines
      • Track responses to ensure receipt
      • Keep involved parties informed of status
    • Lead and execute research projects under the supervision of supervising attorney
      • Conduct legal research on health care/other issues and prepare summaries as needed
      • Maintain legal memoranda on applicable regulatory requirements
    • Execute complex projects and collaborate effectively with cross-functional teams (e.g., business development, commercial, finance, operations, procurement)
    • Assist Legal, Business Development, HR and Finance in administrative matters as needed
    • Support M&A deal review
  • Qualifications

    Qualifications

    • Bachelor’s degree preferred
    • 2+ years experience as a corporate/transactional paralegal or contract administrator
    • Public corporate governance matters
    • Experience supporting M&A deals including reviewing NDA and Confidentiality Agreements
    • Basic research, drafting, proofreading/editing, and project management skills
    • Ability to work independently as well as with a team
    • Ability to maintain a high degree of discretion and confidentiality
    • Stellar communication, organization, time management, and problem-solving skills
    • Healthcare experience is preferred, but not required
    • Must comply with HIPAA rules and regulations

    The salary range for this role is $80,000.00-$85,000.00 in base pay and exclusive of any bonuses or benefits. This role is also eligible for an annual bonus targeted at 15%. The base pay offered will be determined based on relevant factors such as experience, education, and geographic location.
