    Job Summary

    This position reports to the Chief Transactions and Regulatory Counsel. The attorney will assist in the full range of responsibilities overseen by the Transactions and Regulatory Group, including --- but not limited to --- regulatory matters, corporate transactions, and contract review. The attorney will be responsible for providing timely, practical, and solution-oriented legal counsel to corporate officers, management, and employees across the System and its subsidiaries and affiliates. This is a dynamic role that offers the opportunity to contribute to a diverse portfolio of legal matters while working collaboratively across legal teams and business units.

    Primary Responsibilities

    The following statements are intended to describe the general nature and level of work being performed by people assigned to this classification. They are not to be construed as an exhaustive list of all job responsibilities performed.

    1. Contract work, including, but not limited to, drafting/reviewing provider contracts, physician arrangements, managed care agreements, vendor contracts, licensing agreements, leases, recruiting and placement contracts and consulting agreements.
    2. Provide advice to managers and employees on operational issues including, but not limited to, quality of care, informed consent, termination of care, continuity of care, regulatory compliance, medical staff issues, human resource concerns.
    3. Regulatory work, including, but not limited to, researching and interpreting federal and state laws, regulations, interpretive guidelines and case law related to corporate and health care issues.
    4. Develop, review and/or revise corporate policies and procedures.
    5. Credentialing, peer review and network provider issues.
    6. Employment and labor law advice and guidance.
    7. Corporate compliance work including investigating internal issues and interpreting applicable law.
    8. Review, evaluate and render legal determinations concerning internal programs or projects and the implementation of state and federal government and accreditation requirements.
    9. Review inquiries/complaints from state and federal administrative, regulatory and other governmental or accreditation agencies, perform necessary research of the law and internal practices, coordinate, draft, and negotiate the response and/or reviewing responses to the government agency.
    10. Performs all other duties as assigned.

    Education & Experience - Required

    • Juris Doctor Degree from an accredited law school.
    • Admission to the Bar of a state or the District of Columbia, Maryland Bar preferred.
    • At least five years of progressively responsible experience as a practicing health care attorney.

    Knowledge, Skills, & Abilities

    • Current knowledge of health care-related legal issues including but not limited to HIPAA Privacy and Security compliance, medical legal issues, State of Maryland and federal reimbursements for hospitals, Medicare, Medicaid, The Joint Commission, Stark and anti-kickback legislation and state regulations relating to the delivery of health care.
    • Proven organizational skills; ability to provide advice about legal requirements in specific contexts and find ways to meet them while pursuing operational objectives.
    • Highly effective verbal and written communication skills that would enable the individual to successfully deal with medical staff, management, residents, executive staff, other management personnel at all levels, regulators, the media, other attorneys and the community.
