    SUMMARY OF THE POSITION:

    This position provides strategic legal advice to management on a variety of commercial issues relating to USP’s business development and growth, and other matters affecting the organization, both in the United States and globally.  The incumbent is expected to have the judgment, maturity and skill to act with broad discretion in performing the responsibilities of the role.  This role is ideal for an experienced attorney with first chair experience that can successfully navigate business and legal issues to get things done quickly and efficiently, in a practical and pragmatic fashion for a forward-thinking, agile and global-focused organization. The incumbent will be responsible for performing legal work associated with projects throughout their entire life cycle, from inception to completion. The Counsel will also have exposure to, and the opportunity to work on, a wide variety of legal matters affecting the organization.

    ROLES AND RESPONSIBILITIES:

    • Provides advice on structuring key business initiatives in a manner that helps USP achieve its public health mission, while protecting USP’s nonprofit status and integrity as a standard setting organization.
    • Provides legal and policy support to USP and serves as a resource on corporate laws and associated nonprofit tax laws and regulations.
    • Serves as key liaison to transactional outside counsel, including coordinating due diligence and assisting with negotiations.
    • Advises USP staff on legal and policy issues relating to new USP product and service venture development, on topics related to business formation, acquisitions, and tax implications.
    • Drafts, negotiates, and advises business clients relative to commercial agreements, including data licensing, SaaS agreements, strategic partnerships, professional services agreements, product support, and other agreements with commercial customers and partners.
    • Works collaboratively with global cross-functional teams to drive deal closure.
    • Effectively manages varied transactions, while balancing appropriate legal and business risks.
    • Assists with implementing associated USP policies; conducts training as appropriate.
    • Develops form contracts, policies, processes and other legal forms to ensure a high performing organization.
    • Liaises as appropriate with key internal and external legal, regulatory, and other stakeholders.
    • Contributes to the management of outside counsel relationships, including obtaining fee estimates for projects.
    • Develops a thorough understanding of and familiarity with USP, its people, products, markets, facilities, customers, and competitors in order to identify trends and formulate structures and strategies accordingly.
    • Establishes rapport and a working relationship with management and staff at all levels to encourage and continue the proactive use of in-house legal counsel.
    • Performs special assignments or projects, without significant supervision, as assigned by the VP, GLA – Corporate, and assists with other Legal department matters as member of the Legal team.

     

    MINIMUM REQUIREMENTS

     

    EDUCATION AND EXPERIENCE:

    Law degree from an accredited law school and admittance to at least one state bar; MD preferred. 

    Five (5) years of demonstrated legal experience gained with a law firm or as in-house counsel.

    Required Skills Required Experience

  • Qualifications
    • Good understanding & knowledge on semiconductor device physics, electromagnetic theory, circuit design, and semiconductor process technology
    • Experience in device modeling, SPICE simulation, high-frequency (RF/MW) measurements and/or electromagnetic simulation is a strong plus
    • Experience in semiconductor device design & characterization, and/or process integration (CMOS, BiCMOS or III-V) is a strong plus
    • Strong data analytics skills and programming skills in scripting languages are highly preferred
    • D. or MS in Electrical Engineering, Materials Science or related and 3 years of industrial experience in semiconductor device engineering
