    HOW WILL YOUR ROLE IMPACT FIRST COMMAND? 

     

    The Executive Legal Specialist to the General Counsel serves in a key role under the general supervision of the General Counsel in several important functional and substantive areas.  This person is responsible for work in the areas of Corporate Governance, Risk Management, Government Relations, and Department Administration.   This position calls for significant individual initiative, a high-level of analytical thinking, and excellent communication and organizational skills.  It also calls for the completion of tasks to which are attached a high level of corporate responsibility.  This position also deals with highly confidential information at the highest management levels and exercises considerable discretion as it relates to Legal & Compliance related tasks and responsibilities

     

     

     

    WHAT WILL YOU BE DOING? 

     

    Serve as the primary support person, and co-manager, of four of the main functions of the General Counsel:

    • Corporate Governance

      • Organize and conduct all state corporate filings with fifty state regulators for First Command Financial Services and its subsidiaries.
      • Perform the principal elements of the Corporate Secretary function, to include (i) organizing all Board, Committee and related corporate records; (ii) playing a key role in the initial review and coordination of the Board and Committee meeting materials as well as the preparation of materials to include uploading the Board and Committee meeting material to the board portal and assisting Board and Committee Members and FCB Board and Committee Members with the board portal and the technical issues associated with accessing the materials; (iii) preparing, revising and launching the annual Board, Committee and FCB Board and Committee self-assessment surveys; (iv) ensuring proper maintenance and control of all subsidiary corporate records; (v) maintaining all corporate informational listings and organizational charts; and (vi) coordinating the external audit reviews of the corporate records of the Board and Committees.
      • Serve as the primary liaison with the Texas Department of Insurance for its regulation of First Command Life Insurance Company, with responsibility for coordinating examinations by TDI, preparing and submitting annual report filings, and ensuring that FCLIC satisfies all required corporate formalities.
      • Assist with the preparation of the FCLIC Board Committee meetings, attend and take minutes of the Board meetings, liaise with various departments to ensure accuracy and reflection of the substance of the meetings, upload the Board meeting material to the board portal.
      • Research the onboarding of new Gateway/Fast Start Advisors for FCFS business licenses requirements. Research local city/town regulations for establishing a new business.  Prepare Business License Application and Business Tax Receipt.  Maintain and update accordingly the Gateway/Fast Start Business License database.  Coordinate with Advisor Operations and Financial Services on the termination of Gateway/Fast Start Advisors and the Gateway/Fast Start Business License.
    • Risk Management

      • Effect routine submissions to the Federal Reserve for its regulation of First Command Financial Services and coordinate all reviews/exams by the Fed.
      • Administer and maintain the Company’s corporate insurance program. Analyze insurance needs and secure optimum coverage for the Company.  Responsibilities include directing the purchase of insurance programs, management of claims and loss control activities, management of relationships with third party service providers including brokers and insurers.  Identify exposures, recommend solutions, implement approved programs, promote loss prevention,
      • Mitigate the Company's exposure to risk by formulating, developing, and coordinating all claims-related activities, as well as resolving bona fide claims directly with the Carrier at the least possible cost. Ensures the proper and efficient handling of claims for both record keeping and the financial value of claims.
    • Government Relations

      • Manage the disbursement, reporting and solicitations of the First Command Political Action Committee.
      • Prepare reports, agendas, minutes, etc. for regular PAC Committee meetings.
      • Administer and maintain the PAC website.
      • Oversee appointments, visits, correspondence, etc. with candidates, and regularly liaise with Congressional staff for informational and relationship-building purposes.
      • Research candidate and office-holder information and issues.
      • Research legislative and regulatory issues.
    • Department Administration

      • Manage the budget process and serve as primary liaison with Financial Services for Legal, Compliance and Internal Audit, including the building of the budget and the ongoing tracking of Department performance against budget.
      • Handles equipment purchasing and handles/oversees disbursements to ensure consistency and compliance.
      • Oversees the management, ongoing refinement and continuous improvement of the Department’s file and document management system.
      • Participates in the planning and coordination of outside counsel on various matters of litigation involving First Command. Provides back-up support in litigation matters to in-house legal staff as well as outside firms.

     

     

     

     

    ADDITIONAL RESPONSIBILITIES:

     

    • Assist with the preparation of the Executive Compliance Committee and Internal Risk Committee meetings, compile and review the meeting materials, attend and take notes of the Committee meetings, liaise with various departments to ensure accuracy and reflection of the substance of the meetings, and upload the meeting materials to the board portal
    • Assist the VP, Associate General Counsel with all employee investigations. Gather, compile and organize all documentation relating to the investigation, attend interviews and take notes.
    • Assist the VP, Associate General Counsel with the Bank’s current tenant leases.
    • Manage and lead a cross-training program for the Legal and Compliance Teams. Prioritize and set goals on the skills/knowledge that are a priority to the Legal & Compliance Teams.  Implement a structured cross training program to provide a greater understanding of the company.  Incorporate the cross-training process into an overall development plan for the individual.  Administer weekly meetings and provide coaching/mentoring as necessary.

     

     

     

    SUPERVISORY RESPONSIBILITY

    • No direct supervisory responsibility, but indirect responsibility relating to the coordination of Legal & Compliance support persons and functions and the administration of the cross-training program for the support personnel.

     

     

     

    WHAT SKILLS/QUALIFICATIONS DO YOU NEED? 

     

    EDUCATION

    • College degree preferred or equivalent work experience required.

     

    WORK EXPERIENCE

    • 10+ years’ experience in a legal-intensive business role required, including experience in corporate governance, corporate insurance and government relations.

     

    CERTIFICATIONS

    • Certification in one or more relevant substantive/functional areas also preferred.

     

     

    KNOWLEDGE, SKILLS AND ABILITIES

    • Requires superior analytical, communication, administration and organization skills
    • Requires a thorough knowledge of legal terminology, forms of pleadings, contracts and other legal documents; methods of legal research and composition.
    • Must possess extensive experience in a significant, substantive support role for a senior partner in a law firm or for a general counsel or senior attorney in a corporate legal department.
    • Must possess excellent supervisory and managerial skills to effectively coordinate and oversee the activities of a number of support personnel, all while fostering a positive team environment.
    • Demonstrated ability to work with executives and to coordinate a high volume of diverse assignments, effectively handle competing priorities, and maintain attention to detail.
    • Demonstrated ability to maintain confidentiality and use good judgment in making independent decisions with a high degree of tact and diplomacy.
