    Position Summary:

    • Provides support to corporate treasury team advising on the Company's current $8 billion debt facilities including bonds (Reg 144 A), term loan A and B, and asset-back lending credit facilities
    • Advises treasury function on covenant compliance and interacts with debt financing outside counsel in support of corporate treasury
    • Provides advice and support to members of the legal department overseas in connection with the corporate credit facilities
    • Drafts, reviews and advises on a variety of corporate finance transaction including confidentiality agreements, credit agreements, parent guarantees, and forward agreements
    • Manages KYC requests from current and prospective capital suppliers
    • Supports and advises on corporate housekeeping matters involving the approximately 240 subsidiaries of Ingram Micro by reviewing proxies for shareholder meetings (annual and special), approval of annual financial statements, and changes in directors and officers at the subsidiary level
    • Supports general counsel in corporate projects such as mergers, acquisitions, divestitures and investments
    • Advises on real estate, industrial, technology, procurement and intellectual property matters as needed.
    • Assists general counsel with board/operating council matters and liaises with parent company regarding its reporting and disclosure requirements and other corporate/shareholder matters.
    • Assists with government relations and regulatory agency interactions.
  • Qualifications

    • May manage projects/processes.
    • Coaches and reviews the work of lower-level professionals.
    • Problems faced are difficult and often complex.
    • Influences others regarding policies, practices and procedures.
    • Provides solutions to a variety of complex technical and business matters. Will take on significant projects, programs and business initiatives using demonstrated creativity and ingenuity.
    • May assist more junior staff members with aspects of their job. Incumbents provide a leadership role for the work group through knowledge in his/her area of specialization.
    • Generally free to determine work priorities based on general direction from managers. Specialist in technical or business skills.
    • Individuals with a customer focus have developed the acumen to cultivate and develop lasting customer relations.
    • Four-year college degree (or additional relevant experience in a related field).
    • Minimum 5 years functional experience including a minimum of 3 years specific experience.
    • Ability to make significant contribution to processes and systems.
