The Assistant General Counsel will be responsible for assisting the Assistant General Counsel, Employment in managing a portfolio of matters that include a broad range of complex legal issues related to HR, employee relations, employment litigation, general commercial litigation, and risk management. The incumbent provides advice and strategy with respect to various company policies, guidelines, and practices. He/She manages outside counsel, and corresponding budgets and fees, with respect to the handling of both employment-related and commercial litigation, dispute resolution, investigations, audits, and government inquiries. Auto req ID 4577BR Job Requirements: REQUIRED QUALIFICATIONS: * J.D. Degree from an accredited law school. * Current membership in good standing in the Pennsylvania State Bar or the ability to become Registered In House Counsel in Pennsylvania. * Minimum of 5years of employment law experience at law firm or in-house at mid-to-large size company is required. PREFERRED QUALIFICATIONS: * 2-3 years of prior in-house experience supporting organizations with large field sales organizations. *Experience directly handling or managing litigation. * Prior in-house experience with a large, matrixed organization. *Experience with medical devices industry is a plus. *Excellent written and verbal communication skills. *Ability to manage outside counsel in both a timely and cost-efficient manner. * Knowledgeable of state and federal employment/labor laws and statutes, including but not limited to ERISA, FLSA, Equal Pay Act, ADA, Title VII, FMLA, ADEA, HIPAA, and DOL regulations; IRC knowledge is a plus. *Experience advising clients on employment/labor law issues. *Demonstrated ability and resourcefulness in performing legal research using subscription-based Internet tools and free websites. *High level of detail-orientation. * Experience drafting and negotiating commercial agreements. * Experience in conducting investigations. * Experience with Ethics/Compliance programs. You will contribute to our mission by advising business partners and leaders on employee-related issues, mitigating risk, and related legal matters. In a typical day, you will: *Assist the Human Resources Business Partners (HRBPs) in the management of complex employee relations issues; work with HRGs to review and edit complex communications and/or disciplinary documents. * Draft agreements to meet the needs of business clients while providing appropriate protections for the company; consult with outside counsel as necessary regarding international legal issues (e.g., tax, immigration, transfer pricing, etc.). *Create and periodically update separation agreement templates for HR, and review all separation agreements drafted using that template; review and revise all separation agreements for non-RIF related situations. *Work with HRBPs in managing all reductions in force; provide disparate impact analyses; determine appropriate decisional units; work with HR on all related communications; conduct any necessary legal research; draft federal and state WARN notices. *Work with EPL insurer to report new matters; issue and manage litigation holds as required; manage litigation strategy with outside counsel; coordinate discovery matters; attend mediations and settlement conferences. *Assist with drafting HR-related policies, programs, or benefits (e.g., separation pay plans). *Ensure compliance with U.S. federal and state employment/labor laws, staying current with applicable laws, recommending changes to, drafting and/or developing new policies based on changes to laws, sharing information with HR team members responsible for administering policy, and interpreting policy to ensure compliant and consistent treatment of employees. *Manage non-competition/non-solicitation issues involving prospective and/or former employees. *Assist with commission plan documentation review and in assessing proper FLSA classification of new and existing jobs. *Negotiate and draft a variety of commercial agreements. *Provide support with general commercial litigation matters, including providing assistance with all aspects of discovery, including responding to interrogatories, requests for documents, requests for admissions, deposition notices, subpoenas and initiating document preservation notices. * Perform all other related duties as assigned.
