    SUMMARY

    The Corporate Controller directs the financial affairs of the organization and prepares financial analyses of operations, including interim and final financial statements with supporting schedules, for the guidance of management. The Controller is responsible for the Company’s financial plans and policies, its accounting practices, the conduct of its relationships with lending institutions and the financial community, the maintenance of its fiscal records and the preparation of financial reports. (Take out the conduct of its relationships with lending institutions.) The Controller, working with Quality, is responsible for analyzing the current cost structure and highlight areas of improvement and point out areas of inefficiencies, and is responsible for continuous improvement in systems and processes in the accounting area.

    ESSENTIAL DUTIES, RESPONSIBILITIES and AUTHORITIES include the following. Others may be assigned.

    ** Financial Reporting:**

    • Preparation and/or review of reconciliations and workpapers supporting the monthly close process and month-end balances with focus on continuous improvement in systems and processes

    • Review financial information maintained by Deloitte in Mexico and Brazil including bank activity; ensure various tax returns and legal requirements are addressed

    • Review monthly accounting close process including analytical review of the monthly operating results to ensure accurate accounting records are maintained

    • Review of monthly financial statements

    • Review of monthly/quarterly/annual files for Makino Tokyo

    • Review financial dashboard prepared for Senior Staff

    • Ensure fixed asset additions are recorded properly and tracked to budget

    ** Coordination of Financial Audit:**

    • Arrange and coordinate the external audit work at each quarter and year-end

    • Coordinate work of third party experts, including pension and medical IBNR

    • Ensure compliance with Generally Accepted Accounting Standards

    • Assist team with research and writing of technical whitepapers as needed

    ** Establish and Review Internal Controls:**

    • Implement, document and maintain adequate and effective internal controls to reduce risk, improve the close and reporting cycles and to ensure timely/accurate reporting; Ensure an annual review is completed of all processes and risk and control matrices

    • Ensure controls are operating effectively though the use of MAP audits and ongoing financial review

    • Provide special reports by collecting, analyzing and summarizing information as needed

    ** Support Operating Group’s Management:**

    • Ensure team interfaces with representatives from parts, paywork, customer support (warrant/install), marketing and sales to provide appropriate financial information to support understanding and decision making of our operational areas

    • Provide strategic analysis and due diligence relating to business opportunities as needed

    ** Corporate Accounting Management and Supervision:**

    • Maintain a consolidated accounting organization with defined roles and responsibilities, along with performance measurements of the accounting functions. Functional areas to include: accounts payable, accounts receivable and general accounting. Coordination with HR related to payroll , FP&A related to accounts payable, treasury related to cash and debt, and Accounts Receivable related to billings and recognition of revenues also required

    • Review staffing needs at least annually and leverage contractor support when possible

    • Actively participate in management of all staff through coaching and counseling; planning, monitoring and appraising job results

    • Maintain professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; participating in professional societies

    • Work with other departments to improve data integrity and quality in SAP.

    ** Manage Tax Activities:**

    • Coordinate with third party tax provider to ensure completion of Federal and State Tax Returns and quarterly provision adjustments

    • Review various Sales Tax Returns and monitor Sales Tax audits as necessary

    • Address current tax issues including possibilities for tax credits and transfer pricing review

    • Ensure miscellaneous tax returns and government financial forms are completed

    • Maintain State Legal Registrations and Statutory Agents (CT Corp)

    • Supervision of General Accounting and Accounts Receivable. (please delete and Accounts Receivable.)

    EDUCATION and/or EXPERIENCE:

    • Bachelor’s degree in Accounting with CPA license is required

    • Master’s degree in Business Administration is preferred

    • Minimum of 8-10 years of experience is required

    • General computer skills, including knowledge of Microsoft Excel, Word and Powerpoint

    • Experience with the SAP business system is preferred

    CERTIFICATES, LICENSES, REGISTRATIONS:

    • CPA license is required
