    Job Description:

    Reporting to the Company's SVP, Deputy General Counsel (Corporate), the Assistant General Counsel, Compensation & Employment serves as Ventas, Inc.’s (the “Company’s”) principal legal counsel with respect to compensation, benefits and generally employment and human resources matters. The role also provides legal and corporate secretarial support to the Company's Board of Directors and Committees.

    This is a highly visible role in a fast-paced, professional and collaborative organization. The ideal candidate will be comfortable interacting regularly with executive management and the Board of Directors and working across the Company to achieve results and advance the Company's strategic priorities. A commitment to excellence, attention to detail and enthusiasm for flexing to new challenges are critical to success in the role.

    This role may be located in Chicago, IL or New York, NY.

    Key Responsibilities

    Executive Compensation & Employment Arrangements

    • Advise on the design of, and provide legal and corporate governance support for, the Company’s executive compensation program, including its annual and long-term equity incentive programs
    • Advise on the employment arrangements for Executive and Senior Leadership Team, including the structure of severance and termination provisions and restrictive covenants
    • Serve as principal liaison to the Executive Leadership Team and the Board and Compensation Committee on executive compensation and employment matters
    • Prepare executive compensation disclosures for the Company’s SEC filings and other investor communications, including the CD&A and compensation tables for the proxy statement
    • Support and participate in the Company’s best-in-class, Board-led investor engagement program
    • Identify, analyze and report on legal and market practice developments in the area of executive compensation

    Other Compensation & Benefits Matters

    • Advise on the design of, and provide legal and corporate governance support for, the compensation program for the Board of Directors and oversee management of the administration of the program
    • Advise on the design, administration and governance of the Company’s all-employee equity and non-equity compensation plans and benefits programs, including the design of compensation arrangements for employees who support the Company’s alternative asset management platform
    • Provide legal support related to employment, compensation and benefits matters for mergers, acquisitions and other relevant transactions

    Other Matters

    • Serve as principal liaison to the Human Resources Department on employment relations and legal matters generally
    • Provide support for the Company’s corporate governance program as needed

    Core Requirements

    • Minimum of 5+ years of relevant and significant experience, including at a top tier law firm
    • J.D. with outstanding academic credentials; bar admissions as required by the relevant jurisdiction
    • Highly motivated professional with a positive attitude and proactive approach
    • Excellent analytical and communication skills
    • Strong project management and organizational skills

    Compensation

    The compensation available for the role considers a variety of factors including, but not limited to, location of the role and the individual skill set and previous experience of the candidate. The estimated base salary range for the role, assuming that it is based in New York City, is $250,000 to $300,000. Base salary is one part of the total rewards that Ventas provides to employees and does not capture the expected annual or long-term incentive compensation opportunities for the role.This base salary range represents our good faith and reasonable estimate at the time of the posting of this job description.
