    Job Description:

    The Corporate Paralegal will support the Legal Department in the areas of entity management, preparation of governing agreements, entity and legal research, and real estate transactional matters. The Corporate Paralegal will be part of an experienced Entity and Regulatory Management Team with members based in Louisville, Kentucky and Chicago, Illinois.

    Responsibilities

    • Preparation and filing for the creation of legal entities, cancellations, withdrawals, dba filings, and foreign qualifications
    • Facilitate state filings to maintain numerous company subsidiaries in good-standing and all tasks associated thereto including tracking deadlines for filings
    • Prepare governing agreements, conduct entity research, and assist on real estate transactional matters related to acquisitions, dispositions, financings, and reorganizations
    • Conduct legal research, assist with healthcare regulatory matters, prepare UCC filings, Requests for Information, and Know Your Client forms
    • Provide legal entity information to internal and external parties
    • Prepare and provision of Organizational Charts upon request
    • Perform all other tasks and special projects that may be assigned by members of the Legal Department such as General Counsel/Counsel and the Director/Manager of the Entity and Regulatory Management Team

    Requirements

    • Associate’s Degree, Paralegal Certificate, or Bachelor’s Degree in Paralegal studies
    • 3+ years of experience as a Corporate Paralegal
    • Experience working in a fast-paced environment with the ability to multi-task and switch attention between tasks and priorities quickly
    • Ability to work in a deadline driven environment with time requirement conflicts and management pressures
    • Ability to exercise independent thought and judgment
    • Ability to work long hours, including after hours and an occasional weekend, as needed
    • Strong written and oral communication skills
    • Flexibility and willingness to assist in other areas as needed
    • Ability to work in a hybrid work environment (On-site weekly Tuesday-Thursday)
    • Occasional travel required
