  • Responsibilities

    Summary: Responsible for providing day-to-day commercial contract management such as reviewing and negotiating contract terms and conditions, preparing agreements, ensuring contract compliance, and identifying contract risk.

     

    Time Utilization: Normal business hours are 8:00 am to 5:00 pm with occasional overtime needed.

     

    Essential Duties and Responsibilities include the following. Other duties may be assigned:

     

    1. Draft, edit, review, negotiate, and finalize contract documents for company, customer and supply base, including but not limited to non-disclosure agreements, purchase agreements, sales order terms and conditions, local and global agreements, and supplier applications. Proactively handle a broad range of related transactional and legal matters.
    2. Ensure compliance with local and global contract risk management criteria (e.g. policies, procedures, etc.).
    3. Manage contract request process and ensure timely filing of executed agreements.
    4. Monitor and track status of contract-related legal matters.
    5. Meet with legal counsel regularly to ensure visibility of all active contract legal matters.
    6. Gather, organize, summarize, index, and maintain contract documents from various sources.
    7. Manage and maintain the organization’s contract management software and reporting requirements.
    8. Maintain organization’s legal files including a library of pre-approved form documents, contract clauses, templates, and historical documents.
    9. Provide support for litigation and regulatory-related matters as needed.
    10. Perform contract-related legal research.

    Education/Experience: Bachelor’s degree in business or related field and five years related experience in commercial contract management; or equivalent combination of education and experience.

     

    Language Ability: Ability to read, analyze, and interpret legal documents, regulations, and instructional documents. Ability to effectively respond to inquiries from internal and external parties in verbal and written form.

     

    Math Ability: Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, and percentages.

     

    Reasoning Ability: Ability to solve practical problems and deal with a variety of variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

     

    Computer Skills: To perform this job successfully, an individual should be proficient in Microsoft Office, particularly Word, Excel, and Power Point.

     

    Certificates and Licenses: Current valid driver’s license and the ability to obtain a passport for travel as required by position.

     

    Supervisory Responsibilities: This job has no supervisory responsibilities.
