    Job Description

    ATEL Capital Group and affiliates (“ATEL”) have been providing equipment leasing services to Fortune 500 companies for over forty years, and private debt to emerging venture growth companies for the last twenty-five years via public and private retail and institutional investment fund programs.  ATEL is currently looking to hire an Associate Counsel for ATEL’s Legal Department.

    ATEL seeks a highly motivated and experienced team player for its legal department to serve as Associate Counsel.  This is an outstanding opportunity for a talented and motivated individual to work on interesting and diverse transactions in a team oriented environment.  

    Duties/Responsibilities (and % time expected to be devoted):

    ·       Position will have primary responsibility for structuring, negotiating and documenting equipment lease, venture debt and other equipment financing transactions.  Responsibilities also include supervisory role in administering funded transactions during their remaining term. (70%)

    ·       Assist in overseeing a variety of legal transactional matters including bankruptcy, collections, and workouts, updating pro forma documentation, and advising on miscellaneous contractual issues (e.g. UCC filings, sale-leaseback, fraudulent conveyance, notification requirements, licensing agreements, confidentiality agreements, and vendor agreements). (10%)

    ·       Maintain corporate records (e.g. corporate resolutions, state filings, corporate minutes) and create or dissolve corporate entities as required.  Register corporate trademarks and other intellectual property rights and maintain records.  Comply with regulatory requirements. (10%)

    ·       Supervisory responsibility over Contracts Department as to transaction maintenance, Uniform Commercial Code and other filings, and issues relating to debt packages. (5%)

    ·       Position will have primary responsibility for structuring, negotiating and documenting real estate transactions, including acquisitions, and mortgage or securitization financing.  Prepare and fund transactions.  Follow-up supervisory role on maintenance of real estate portfolio. (5%)

    Requirements:

    ·       The applicant must possess a J.D. degree and be an active member of the California bar with 3-5 years of relevant transactional and legal experience

    ·       Highly effective communication skills and demonstrated ability to learn quickly and adapt continuously in a fast-paced environment

    ·       Working knowledge of the subject matter areas a benefit

    ·       Proven problem-solving capabilities and the ability to apply practical thinking to legal issues

    ·       A mentality that you can learn from everyone

    ·       A sense of humor and a desire to be part of a team
