    Job Description

    The FRANCHISE CONTRACT ADMINISTRATOR is responsible for administering and maintaining all agreements between ACE and our franchisees, analyzing contracts with an eye toward reducing costs and increasing profits, while ensuring compliance with the law.  This position reports to the Executive Vice President. Ultimately, this position ensures all agreements conform to legislative and FDD requirements, while meeting company goals.

    YOU'LL BE EXCITED ABOUT THIS OPPORTUNITY BECAUSE YOU WILL...

    • Work closely with the Franchise Sales department to ensure appropriate administration of franchise documents from drafting through execution of franchise agreements and all applicable final documents (e.g. Deferred Payment Agreement, Temporary Fee Reduction Agreement, Promissory Note with Personal Guaranty and W-9 Form).
    • Gather, receive and validate appropriate documentation relating to the franchisee or franchisee’s legal entity.
    • Review legal entity documents such as operating agreements, FEIN# and to prepare timely, accurate franchise documents. Identify stakeholders, percentage of ownership, qualification, guarantees, trademark infringements and limited purpose.
    • Obtain approvals and make proposed changes to legal entity structures (e.g. adding/releasing a partner, assigning to another entity, etc.)
    • Facilitate the processing, documentation and assignment for transfers of ownership. 
    • Interpret complex business proposals and document negotiated changes through an amendment, termination agreement or addendum to FA/SDA/non-compete agreement.
    • Edit franchise documents and ensure compliance with company policies and applicable Federal and State laws, including the Federal Trade Commission (FTC).
    • Obtain the Franchise Disclosure Document (FDD) receipts.  Comply with disclosure laws for each stakeholder, research existing legal files, and verify various deal components, including qualified candidates and proper ownership structure.
    • E-mail ACE Service Agreement with Client to franchisee.
    • Complete templates in FranConnect, Microsoft Word and/or Excel to initiate the set up and updating of franchise entities, entering all critical data points to ensure accurate contracts.
    • Complete all administrative processing including: entering Initial Franchise Fee payment into the ACE Accounting Log, submitting cashier’s checks to accounting, and submitting documents to Accounts Payable. 
    • Work with Accounting to ensure invoices are prepared and applicable fees are collected when the agreement is fully executed.  
    • Process and deliver completed documentation to the franchisee or company representative, receiving signed/returned documents, Review for accuracy and completeness, ensuring enclosure of all funds due.
    • Ensure fee rates are accurately and timely entered into our system to enable revenue recognition.
    • Ensure efficient and timely data entry and maintenance of contract terms, fees and franchisees in the FranConnect system, critical to the data integrity.
    • Communicate document updates and contract reporting to business partners via phone calls, emails and/or reports.
    • Manage administration of the lead flow process and reporting, including updates to a report of lead sources for signed franchisees.
    • Conduct franchisee background check process including applications, processing, approval and invoicing. 
    • Maintain current Certificates of Insurance and ServSafe® Food Safety Manager Certificates for all existing franchise entities. 
    • Facilitate the escalation process and documentation of franchisees that are non-compliant with their contractual requirements. 
    • Manage administration and documentation of terminated franchisees and permanent store closures, including de-identification and documentation.
    • Facilitate the annual renewal process and relevant amendments to the FDD. 
    • Educate and update the sales team on the FDD, Federal Trade Commission requirements and the franchising industry.

    • 4+ year’s prior contract administration experience
    • An Associate’s Degree in Business or a Paralegal Certificate
    • Prior experience with contracts, legal documents and requirements, including terms of use
    • Prior experience with FranConnect system a plus!
    • Computer Proficiency (Microsoft Word, Excel (sorting/filtering spreadsheets), Internet
    • A strong attention to detail, along with the ability to discover potential risks for our company
    • Work independently with a high degree of discretion and confidentiality
    • Managing time and multiple priorities effectively
    • Communicate and collaborate effectively with the team
    • Able to speak Burmese and/or Chinese a plus!
