    Job Description

    Our new Legal Counsel, Corporate role will oversee a broad range of corporate and commercial legal needs for our publicly traded manufacturing company. Partner with our business on contractual matters (review, drafting, and negotiating), regulatory compliance, corporate governance, and consumer & marketing claims.

    LOCATION: 2500 Columbia Avenue, Lancaster, PA 17604 - temporarily remote due to COVID LEGAL COUNSEL, CORPORATE SALARY: $130,000 - $150,000, based on experience (Gr. 14/15)

    HOW YOULL CONTRIBUTE TO THE TEAM:

    • Prepare, review and negotiate contracts involving distribution, sales, procurement, IT, consulting services, confidentiality, data privacy, licensing and other corporate related matters
    • Demonstrate experienced judgment in analyzing and negotiating complex concepts, including: limitations of liability; indemnifications; and warranties
    • Assist in handling various corporate legal matters, including privacy, commercial disputes (pre-litigation management), and corporate governance
    • Assist the General Counsel to ensure that the Company conducts its business in compliance with applicable SEC laws and regulations and NYSE rules; manage Sarbanes-Oxley and 1934 Act compliance and reports (10-K, 10-Q, and 8-K and proxy statements)
    • Participate in the design, development and management of corporate policies, procedures, and programs required for a public company and provide counsel and guidance on legal matters, regulatory interpretations, and on legal implications of all matters.
    • Assist in oversight of maintenance of all foreign and domestic subsidiaries
    • Research, analyze and advise members of senior management regarding laws and regulations.
    • Effectively manage outside counsel to achieve business goals while controlling costs
    • Participate on cross-functional teams in company initiatives
    • Participate in due diligence with respect to mergers and acquisitions
    • Manage real estate transactions, including leases and easements
    • Assist with initiatives to strengthen the legal department and business operations through systems improvements and the preparation, implementation and refinement of forms, processes, and procedures, including contracts management and records retention

    REQUIREMENTS

    WHAT YOU'LL BRING TO THE TABLE:

    • J.D. from an accredited law school
    • Admission to the Pennsylvania Bar
    • 3+ years of relevant experience in large law firm or in-house legal department
    • Previous experience with commercial transactions and corporate governance exposure
