    Job Description

    • Act as lead lawyer on a wide variety of complex business transactions involving both domestic and international issues
    • Develop deep relationships with our business teams to understand their operations and goals and provide excellent legal advice with a business-minded, solution-oriented approach
    • Manage all aspects of corporate transactions from the initial stages of the deal through post-closing integration, including structuring transactions, drafting and negotiating agreements, running due diligence, and managing teams of attorneys, paralegals and business people
    • Structure, negotiate and draft purchase and sale agreements, equipment purchase agreements, joint venture agreements, financing documents, distribution agreements, license agreements, service agreements, supply agreements, sponsorship agreements, partnership agreements, transportation agreements and many more
    • “Own” projects – ask questions, take responsibility, think outside the box and make risk-appropriate judgment calls with limited supervision
    • Manage, train and develop other lawyers and staff with intentionality and thoughtfulness
    • Proactively identify, and actively participate in improving, inefficiencies or waste within the department and across our businesses
  • Qualifications

    Qualifications

    • 15+ years of broad-based complex corporate transactional experience, including significant experience practicing corporate law in a top-tier law firm
    • Demonstrated ability to run complex M&A transactions as the lead attorney is strongly preferred
    • Ability to communicate complex business and legal issues to top-level executives in a succinct and straightforward manner
    • Experience working as a lead attorney on large and small projects including managing other lawyers
    • Experience drafting and negotiating complex deal documents (background with foreign transactions is a plus)
    • Ability to make judgment calls based on varying risk tolerances and provide business-minded legal advice to business unit executives
    • Team player – willing to stretch to take on new responsibilities and roll up your sleeves to pitch in where needed
    • Kind, respectful and collaborative with everyone across all levels of the organization; looking for a collegial environment where colleagues leave their doors open and stop by to chat about weekend plans
    • Strong academic credentials, excellent analytical, organizational, verbal and written skills required
    • JD from top tier law school
    • Must be a member in good standing of the State Bar of California or registered as in-house counsel

    Pay Range: $320,000 - $330,000 and may include a discretionary bonus. Final compensation will be dependent upon skills & experience.
