    Direct Counsel, LLC is seeking M&A and Private Equity Associates for a leading global law firm to join their esteemed team in Palo Alto. We welcome candidates who are prepared to advise corporate clients and private equity funds on a range of transactions, including acquisitions, dispositions, minority investments, and general corporate matters.

    Responsibilities:

    • Advise clients on M&A transactions and private equity matters, ensuring compliance with corporate law and market standards.
    • Draft and negotiate transaction documents, including purchase agreements, stockholder agreements, and related documentation.
    • Manage deal processes effectively, maintaining both client communication and team coordination.
    • Engage in direct client contact to cultivate relationships and ensure client satisfaction.
    • Work with a high level of autonomy and responsibility, taking the lead on matters and initiatives.

    Qualifications:

    • Juris Doctor (J.D.) degree from an accredited law school and in good standing with the State Bar of California.
    • 4-7 years' experience handling M&A transactions, ideally within a recognized law firm.
    • Strong understanding of corporate law and market terms relevant to acquisitions and private equity.
    • Substantial experience in drafting transaction documents and managing complex deals.
    • Driven personality with a business development-oriented mindset; ability to work independently and take on considerable responsibilities.

    Client Profile:
    The firm serves a diverse array of corporate clients and private equity funds, providing comprehensive legal solutions across various industries. The M&A and Private Equity teams are known for their expertise in navigating complex transactions and fostering lasting client relationships.

    Compensation:
    The annual compensation range for this position is between $310,000 and $420,000 contingent upon qualifications and operational considerations.
