Senior Finance Transactional Attorney

Location: San Diego preferred; Los Angeles and San Francisco Bay Area candidates considered. Hybrid flexibility available.

A boutique corporate law practice is seeking a Senior Finance Transactional Attorney with significant Emerging Companies & Venture Capital (ECVC) experience. This role focuses on venture financings, private placements, corporate governance matters, and advising emerging growth companies throughout their lifecycle.

Key Responsibilities

• Lead venture capital financing transactions from inception through closing
• Advise founders, boards, investors, and emerging growth companies
• Draft and negotiate financing and transaction documents
• Handle private placement securities offerings
• Manage corporate governance matters and related documentation
• Maintain direct client relationships and transaction ownership
• Collaborate with senior attorneys on sophisticated corporate matters

Candidate Requirements

• 5–7+ years of ECVC transactional experience
• Significant venture capital financing experience
• Corporate finance, private placement, and governance experience
• Active California Bar membership
• Strong client-facing and transaction management skills
• Deal sheet required

Compensation & Benefits

• Target compensation: $300,000–$420,000+
• Base salary floor: $165,000–$200,000
• Additional origination compensation available
• No cap on earnings
