ASSOCIATE LEGAL COUNSEL (JUNIOR)
Azurity is looking to complement the Legal Team with a junior Associate Counsel, based out of its offices in Woburn, MA. This is an opportunity for a driven junior-level attorney who thrives in a fast-paced, hands-on, and team-oriented environment where the attorney can have a big impact on the organization.
The position will report to the General Counsel and will be a generalist who will provide support and guidance to each of the Company’s business departments on a variety of projects, with a primary focus on drafting, negotiating and providing legal advice relating to a broad range of contracts and advising on proper review of promotional and nonpromotional/scientific material. The attorney may also support a variety of legal activities, including: intellectual property management, business development activities, mergers and acquisitions, corporate law, litigation, and general advice and counseling on a variety of issues.
This role will be highly visible and will have direct contacts with Azurity’s leadership team. Candidates must display a high level of executive presence and leadership competencies.
MAJOR RESPONSIBILITIES:
- Provide high quality legal advice and serve as a trusted strategic partner to a variety of internal teams in a way that advances Azurity’s business while addressing legal risks and protecting the company’s integrity and reputation;
- Draft, negotiate, and finalize a variety of legal agreements, oversee the contracting process, and provide post-execution advice and counsel to internal clients on contractual obligations; work closely with the Contracts Administrator in overseeing the contracts lifecycle;
- Support the Company’s Commercial organization in the negotiation of commercial agreements.
- Advise on the proper review of promotional materials and tactics including social media and healthcare professional and consumer-directed advertising as well as nonpromotional/scientific pieces and scientific exchange materials. Participate in review committee meetings.
- Manage and oversee outside counsel on a variety of projects;
- Assist in legal due diligence initiatives relating to possible transactions;
- Oversee and support outside counsel on matters;
- Partner with legal department colleagues in executing and enhancing Company objectives.
- Support other strategic transactions and corporate initiatives as the need arises.
PREFERRED QUALIFICATIONS:
- J.D. from an accredited law school; admitted into practice and in good standing in at least one state
- 1 - 3 years of experience is required, ideally supporting the life sciences industry in a law firm setting or as a member of a legal department in a pharmaceutical/biotech company
- Strong drafting and communication skills, and an ability to maintain a high level of attention to detail without losing sight of the big picture
- Commitment to client service, finding solutions, relationship building, continued learning, proactivity and confidentiality
- General understanding of the concepts, terminology and interdependencies that are important in the research-based pharmaceutical industry, including with respect to intellectual property rights
- Excellent interpersonal skills that are demonstrated by being articulate, direct and forthright, and serving as a collaborative and decisive team member and a strategic thinker with a broad perspective
- Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations
- Demonstrated ability to own projects and consistently meet tight timing requirements and high-quality standards
- Strong verbal and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization
- Ability to handle confidential and proprietary information using impeccable discretion and judgment
- Strong organizational skills, with the experience and ability in managing and filing all corporate files, IP portfolios, and litigation dockets.
