    Our client, a Family Office located in Cleveland, OH, is growing and is seeking an attorney licensed to practice law in Ohio to serve as their In-House Legal Counsel. This position will report to the Chairman and Founder and will be the first point of contact with regards to all legal matters within the Family office. While the legal focus can vary, the primary focus will be on M&A, real estate investments and post-acquisition support of their portfolio companies.

    ** Although we are seeking a full-time candidate, we are also open to fractional candidates who can operate in a flexible operating environment. 

    Responsibilities

    • Legal support and coordination of all projects of the Family Office
    • Managing outside counsel, review of documentation and assistance with any legal issues.
    • Drafting and reviewing of legal documentation such as corporate and commercial transaction documents, real estate transaction documents, and financial transaction documents; including, but not limited to:
      • Entity analysis, formation and execution (e.g., Corporations, Limited Partnerships, Limited Liability Companies, etc.)
      • Entity and Asset (e.g., Real Estate) Acquisitions.
      • Ongoing Management and Operation of Real Estate Assets.
      • Liaise with other parties within the Family Office, as well as outside legal, tax, and wealth advisory group members.
      • Litigation Oversight involving Family Office Matters, and family matters.
      • Advise on legal compliance, including fiduciary related matters involving trusts in which family members serve as Trustee, and corporate governance related matters as to both for-profit and non-profit related entities.

    Requirements

    • Juris Doctorate from an accredited Law School.
    • 7+ of related legal experience practicing within a law firm.
    • Strong real estate, corporate and commercial transactional knowledge, including promissory notes, guarantees, credit facilities, and security agreements.
    • Working knowledge of individual/corporate/partnership income tax.
    • Working knowledge of estate & gift tax.
    • Working knowledge of Trust/fiduciary law.
    • Working knowledge of intellectual property law.
    • Excellent written and oral communication skills.
    • Demonstrated hands-on approach as well as the ability to collaborate with external lawyers, accounting firms and consultants.
    • Ability to work well independently as well as the ability to work well with stakeholders and communicate the benefits of all Family Office initiatives.
    • Strong organizational and interpersonal skills.
