    PATH’s Legal and Research Affairs Division is currently recruiting for an attorney to provide legal counsel and transactional support to global public health programs in PATH’s Program and Innovation Division.

    The Legal and Research Affairs Division supports PATH’s mission of bringing health equity to all by providing strategic legal counsel, enabling scientifically and ethically sound research and offering education and guidance to facilitate innovation and collaboration while enhancing governance, risk management and compliance. The Legal Affairs team consists of a general counsel, five attorneys, four paralegals, two paralegal assistants, and one executive assistant who comprise its administrative support team. The Legal Affairs team’s mission is to support PATH's diverse portfolio of public health projects as trusted advisors partnering with clients and other stakeholders to achieve PATH’s strategic objectives within sound risk tolerance and efficient decision-making frameworks, tailored and adaptable to meet institutional and programmatic needs. 

     

    This position is for a transactional attorney with experience providing comprehensive legal services that enable sound and strategic decision-making, partnership agility and achievement of organizational goals in an ever evolving and complex global health and compliance environment.  The ideal candidate has a background in research, technology product development, public/private partnerships, healthcare, and/or public health. This individual will work closely with program teams which are developing sustainable primary healthcare, addressing prevalent infectious and non-communicable diseases, strengthening public health systems, and developing innovative technology in collaboration with private and public sector organizations.

     

     

    ESSENTIAL JOB RESPONSIBILITIES:

    • Act as responsible attorney for assigned program portfolios, providing pragmatic legal counsel and strategic advice regarding collaborations and other transactional structures, intellectual property matters and risk assessments.
    • Collaborate with program teams to establish strong and effective partnerships to support PATH’s mission.
    • Draft collaborative research agreements, license agreements and services agreements with public and private sector partners, multilateral organizations, and academic institutions to facilitate development and enhancement of public health systems and strategies, including qualitative, observational, surveillance and human subject research and data management and analysis.
    • Draft product development and commercialization agreements and other technology-supportive agreements for enabling healthcare interventions and innovations.
    • Team with project leaders and commercialization officers to negotiate agreement terms, aligning with PATH’s mission, policies and effective stewardship of PATH’s resource and ensuring compliance while enabling innovation.
    • Assess client legal support needs and partner with assigned paralegal and paralegal assistant to ensure timely and effective provision of legal services.
    • Provide legal consultation for PATH’s Office of Grants and Contracts team regarding grants/awards and outgoing agreements such as subawards and subcontracts.
    • Leverage document management systems, e.g., Salesforce, to track agreement process.
    • Undertake and document research related to implementing transactions and initiatives.
    • Contribute to Legal Affairs projects, including client education and resources development, knowledge management systems and templates, playbooks, and clause bank.
    • Manage outside counsel in coordination with General Counsel.

    Required Skills Required Experience

    • JD (or equivalent) and licensed to practice law in the state of Washington
    • 7+ years as a practicing attorney with at least 3 years as in-house counsel, preferably in a multinational or international organization
    • In-depth understanding of scientific/intellectual property driven transactions, particularly related to pharma/life sciences, technology development, or public-private partnerships
    • Ability to think strategically and establish trusted advisor relationship with clients
    • Flexible and analytical thinker able to quickly and accurately identify legal issues in complex relationships and develop solutions by consistently demonstrating sound and confident judgment in ambiguous situations
    • Demonstrated ability to work efficiently and to effectively manage competing priorities in a fast-paced environment
    • Self-starter who collaborates well in a matrixed organization and within cross-functional groups
    • Well-established results orientation and client/partner focus
    • Outstanding communication skills including proven ability to synthesize and clearly convey legal concepts and provisions to non-attorneys
    • Extensive client counseling experience with track record of effectively helping clients identify strategic goals, prioritize key issues, and find (and document) pragmatic and sustainable solutions to fulfill program needs in a wide range of transactions
    • Adept with respectfully managing divergent views and facilitating difficult decision-making
    • Desire and strong ability to collaborate as part of a team and with diverse groups and cultures
    • Experience working with scientists or other technical clients as well as interacting directly with senior leadership
    • Well organized, flexible attitude, and a desire for continuous learning environment
    • Ability to travel domestically and internationally if needed

  • Qualifications

    •A highly skilled professional, with expertise and at least 5 years of experience in higher education student success.

    • A thorough understanding of academic culture, the environment of a large research university, and an ability to engage faculty and staff is essential.

    • A thorough understanding of the nuances of intersectionality.

    •Excellent teamwork and diplomacy skills, including the ability to work with a variety of constituencies on issues around student success.

    •Excellent communication skills, including written, oral/signed, and web-based.

    •Experience motivating and supervising staff for a common goal.

    •Advanced degree required.
