    Job Description

    The Counsel – Litigation and Commercial Matters (“Counsel”) primary duty is to assist the General Counsel and Deputy General Counsel in the legal management of litigation matters and commercial transactions affecting the organization.  Counsel will be responsible for the execution of day-to-day legal affairs of the organization and will be required to make decisions which impact functions system-wide.

    The essential job functions include, but are not limited to:

    • Assist General Counsel with internal and external audits and exercise primary responsibility in handling of internal and external audits assigned by the General Counsel
    • Assist General Counsel with overseeing the Company’s insurance program and risk management program
    • Assist General Counsel in developing and implementing Company’s compliance program
    • Assist General Counsel with corporate governance issues, including forming and establishing new entities, ensuring compliance with required filings for the various offices for each State’s Secretary of State, drafting corporate resolutions, and preparing for and attending Board Meetings
    • Assist General Counsel or Associate General Counsel with the negotiation of contracts and offer legal counsel on contracts, agreements, and processes and procedures to facilitate implementation of commercial agreements and their enforcement
    • Exercise primary responsibility in handling litigation matters assigned by the General Counsel or Deputy General Counsel for Litigation
    • Work, as requested, with the Deputy General Counsel for Litigation to investigate and uncover facts necessary to prosecute or defend litigation matters
    • Work directly with all departments to deliver timely and responsive legal services in creating, reviewing and negotiating commercial agreements of any kind
    • Maintain familiarity with current and proposed laws and regulations and case guidance involving all assigned matters
    • Research specific legal issues and report results to the General Counsel, Deputy General Counsel, or Associate General Counsel
    • Manage various projects and deadlines assigned by the General Counsel, Deputy General Counsel, or Associate General Counsel
    • Develop solutions to complex legal questions and advise General Counsel, Deputy General Counsel, or Associate General Counsel accordingly
    • Assist senior management with evaluating legal and business risks association with the adoption of terms used in specific transactions or contracts
    • Maintain confidentiality

    The position requirements include, but are not limited to:

    • Degree Required, Doctorate preferred
    • Must be licensed to practice law in Texas or be licensed in another state and be eligible to become licensed in Texas within one year
    • Minimum of 5 years of relevant legal experience is preferred
    • Proficient skill level with Microsoft Office applications is required
    • Familiarity with case or matter management software is required
    • Proficient skill level with Lexis and Westlaw is required
    • Prior experience working as an in-house attorney is preferred
    • Trial experience is preferred
