    Caban Systems seeks a General Counsel who is passionate about sustainable energy and is knowledgeable about the Information and Communications Technology industry.  Caban Systems is a vertically integrated green energy provider for Telecommunications, Edge Computing and Data Center use cases.  We are a post start-up in a rapid growth phase with offices in the US, Latin America and the Caribbean, and are in search of the right person to grow with us.

    The ideal candidate must be able to thrive in a fast-paced, dynamic environment and be able to cultivate and maintain relationships with domestic and international customers, vendors and investors.

    QUALIFICATIONS

    • At least 10+ years in a similar role with experience in B2B technology companies.
    • Experience in influencing and guiding cross-functional teams, including international sales teams.
    • Creativity and problem-solving skills, including triaging solutions with business functions such as sales & finance.
    • Experience advising on corporate governance and securities issues. 
    • Strong initiative as well as excellent business acumen.
    • The ability to adjust to changing priorities; high agility quotient.
    • Demonstrated solution-minded approach to risk mitigation that takes into consideration both legal and practical business considerations.
    • Outstanding analytical, communication, and organizational skills.
    • Good pattern recognition with the ability to anticipate complexity and guide around it.
    • The ability to communicate and explain complex legal concepts in direct and simple terms to ensure appropriate understanding by business stakeholders.
    • JD from accredited law school and admitted to practice law in the State of California.  Must be a Member in Good Standing of the California State Bar.
    • Must have corporate in-house and law firm experience.
    • Must be a self-starter with start-up experience.
    • Must have exposure to domestic and international contracts in the Information and Communications Technology space.
    • Demonstrated ability to keep up with changing laws and regulations relevant to Caban Systems operations worldwide.
    • Professional ethics and integrity. 
    • MUST BE ABLE TO READ, WRITE AND SPEAK MULTIPLE LANGUAGES AT THE PROFESSIONAL LEVEL IN ORDER TO CREATE, EDIT AND NEGOTIATE TERMS IN CONTRACTS, AGREEMENTS, PROPOSALS AND LEGAL CORRESPONDENCE: ENGLISH, SPANISH AND (FRENCH IS A PLUS).

    RESPONSIBILITIES

    • Provide legal counsel and guidance to the CEO, CFO and leadership team across a broad base of legal areas, including commercial, transactional, regulatory, and employment.
    • Hands-on delivery of legal services and resources to enable the accomplishment of corporate goals, strategies, and priorities.
    • Draft negotiate, and advise on a broad spectrum of legal agreements, including complex and strategic Enterprise deals and partner contracts and general commercial agreements.
    • Manage and advise on all aspects of litigation as well as regulatory and compliance matters. 
    • Help with fundraising legal activities as needed.
    • Risk-reward assessments for commercial and vendor projects identifying and assessing the probability and impact to craft creative solutions.
    • Provide counsel on all aspects of employment and labor law and compliance. 
    • Lead domestic commercial contracts negotiations directly with customers (direct sales).
    • Manage international outside legal counsel.
    • Manage legal expenses in line with the approved budget.
