    COMPENSATION

    Base: $290,000--$315,000

    Bonus: Competitive; firm attempts to match BigLaw bonus scales. Bonus eligibility threshold: 1,800 billable hours.

    This mid-size national firm has a capital markets practice that has seen its book of business grow dramatically over the past six years, driven by a single practice group leader with a track record of building client relationships fast. Candidates should know upfront: base salary is below Cravath scale ($290K--$315K versus $365K--$390K for equivalent class years at top BigLaw firms). In exchange, the billing target is 1,800 hours — meaningfully below the 2,000--2,100 standard at most large firms — and the firm actively attempts to match BigLaw bonus levels, which compresses the total comp gap significantly. The trade is real deal ownership, direct partner access, and a described accelerated partnership path, for a lower base. If you want to run transactions rather than draft memos in a large department, this is worth a look.

    ABOUT THE ROLE

    You'll draft and review registration statements, prospectuses, and offering documents for debt and equity offerings; prepare and file SEC periodic reports (10-K, 10-Q, 8-K, proxy statements); manage full due diligence processes for capital markets transactions; and advise mid-cap issuers and investment banks on corporate governance and SEC compliance. You'll run deals from initiation to closing with direct partner mentorship.

    REQUIREMENTS

    Experience: 4--8 years of capital markets law at a law firm

    \- SEC reporting experience (10-K, 10-Q, 8-K, proxy statements)

    \- Drafting registration statements, prospectuses, and offering documents for debt and equity transactions

    \- Managing due diligence processes for capital markets matters

    \- Client advisory experience across the deal lifecycle

    Bar Admission: NY or MA preferred (or ability to obtain)
