    Job Description

    The Dover Companies, a mission driven, vertically integrated senior living organization, have enjoyed tremendous growth over the past 5 years and are continuing their upward trajectory.  We currently seek a dynamic, collaborative CORPORATE COUNSEL to join our organization, while demonstrating an impeccable commitment to integrity, compassion and transparency.  As a member of the Dover Companies legal team, the Corporate Counsel will be responsible for providing timely and accurate legal advice to the Dover Companies’ senior living operations units, Cedarhurst Senior Living, LLC (“Cedarhurst”) and its affiliated pharmacy, Medicine Express, LLC (“MedEx”) and for the placement and management of the Dover Companies’ risk and insurance programs.

    The successful candidate will be a well-rounded, business-minded generalist with the ability to provide counsel on a wide range of strategic, tactical and operational matters.  The Corporate Counsel will report directly to the Dover Companies General Counsel and interact with Cedarhurst’s and MedEx’s home office and community personnel. 

     

    JOB SUMMARY AND ESSENTIAL FUNCTIONS:

    As Corporate Counsel, you will be responsible for managing (i) the Dover Companies insurance program and (ii) the day-to-day legal affairs of Cedarhurst and MedEx with limited oversight from others within the Dover Companies legal department.  The essential functions of the role of Corporate Counsel include, without limitation, the following:

    • Prepare, review and revise form resident agreements, which will include the creation and revision of form documents in the Thomson Reuters Contract Express® document automation system.
    • Manage collection matters, evictions and litigation matters including records requests, discovery matters, development of case strategy, etc.
    • Review, draft and negotiate a wide array of commercial contracts, including non-disclosure agreements and management, licensing, supply, sales, vendor, e-commerce, consulting and technology agreements.
    • Review, interpret and provide advice with respect to various legal matters including senior living regulations, pharmacy regulations, compliance, licensing, vehicle and equipment titling, employment matters and contract matters.
    • Participate in due diligence collection and review process for acquisitions and divestitures.
    • Oversee licensure process, including initial licensing and renewals for Cedarhurst communities and MedEx.
    • Manage the Dover Companies’ insurance programs and claims process including the placement and renewal of policies such as General Liability, Professional Liability, Property, Auto, D&O, and other policies, as needed.
    • Coordinate the procurement and replacement of certificates of insurance with all Dover Companies business units, and their respective lenders and vendors.
    • Cooperate with and supervise Dover Companies paralegals and support staff.
    • Complete other projects as are assigned from time to time.

    QUALIFICATIONS:

     

    • Strong educational credentials including a J.D. from an ABA accredited law school.  Top 50% class rank.
    • 2+ years of legal experience with a law firm or corporate legal department.  Some experience with insurance, health care, corporate formation and/or compliance preferred.
    • Licensed to practice law in the State of Missouri.
    • Dedication to serving the Dover Companies’ mission of serving seniors.

    • Ability to work well with others and take direction from management, as well as take initiative – willing to go above and beyond to ensure the needs of the organization are met in accordance with the Dover Companies’ core values.
