Title: Corporate Securities and M&A Attorney
Location: The Woodlands / Houston, TX
Salary: $200,000-$300,000
Responsibilities:
- Provide legal counsel on corporate securities matters, including compliance with federal and state regulations, SEC filings, and corporate governance issues.
- Lead and manage mergers and acquisitions (M&A) transactions, from due diligence through negotiation, drafting, and closing.
- The ideal candidate will have experience preparing and reviewing Securities Act and Exchange Act filings and periodic reports.
- Draft and review legal documents, such as purchase agreements, disclosure schedules, and merger documents.
- Conduct legal research and stay abreast of changes in securities laws and regulations affecting the organization.
- Collaborate with internal stakeholders, including executives and cross-functional teams, to ensure legal strategies align with business objectives.
- Manage relationships with external legal counsel and oversee their work on specific transactions or legal matters.
- Assist in the development and implementation of corporate policies related to securities compliance and M&A activities.
- Participate in the negotiation and structuring of complex business transactions.
- Provide guidance on general corporate law matters and contribute to the overall legal strategy of the organization.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar.
- Proven experience 3-4 as a corporate securities and M&A attorney, preferably in a law firm or corporate legal department.
- In-depth knowledge of securities laws, SEC regulations, and M&A transactions.
- Strong negotiation, drafting, and analytical skills.
- Excellent communication and interpersonal abilities.
- Ability to work independently and collaboratively in a fast-paced corporate environment.
- Detail-oriented with a focus on delivering high-quality legal advice.
- Sound judgment and ability to assess and manage legal risks.
- Experience managing and coordinating legal projects and teams.
