    Job Description

    This role will be primarily responsible for advising the Company’s Clean Earth (CE) Division in the United States on commercial contract matters. The role will work closely with the Vice President, Division General Counsel of CE in the drafting, reviewing and negotiation of a wide range of commercial contracts and leases.

    Primary Responsibilities (Essential Functions):

    • Draft and review U.S. commercial agreements and leases for the environmental solutions division of a multinational corporation;
    • Assist business team members with responding to, and negotiating with, third parties in finalizing commercial agreements and leases;
    • Manage commercial agreements for the CE division and provide support to the CE Division General Counsel in effectively monitoring and enforcing terms of commercial contracts;
    • Draft commercial contract templates that can be used across all lines of the Company’s business.
    • Provide training to other legal team members on commercial contract matters;
    • Work closely with business teams to address risks, disputes, claims and liability profile of the Company;
    • Support development/expansion of contract lifecycle management system to track contracts and follow-up on contracts as needed; and
    • Assist in contract training of appropriate business personnel
  • Qualifications

    Qualifications

    Basic Required Qualifications:

    • Bachelor’s degree;
    • Approximately 5 years of experience within either a corporate legal department of a company or a law firm experienced in advising companies on these matters;
    • Paralegal certification;
    • Automation applications and computer databases;
    • Written business communication and report writing techniques;
    • Strong interpersonal skills: ability to build relationships and effectively liaise with people at all levels;
    • Understands terms and forms of contracts; can draft routine or moderately complex contracts and legal documents;
    • Knowledgeable in the use of Microsoft Office products, including Office, Word, and Adobe products; adept at using (or learning) existing (or new) technologies and incorporating them into work as required; and
    • Able to identify, analyze and escalate (or communicate, as appropriate) legal and business risks faced by the Company.

    Preferred Qualifications:

    • Notary Public
    • High level of initiative
    • Attention to detail
    • Ability to demonstrate good judgment and be proactive
    • Ability to effectively plan, organize and prioritize numerous tasks and complete under time constraints
    • Ability to read, analyze, and interpret contract language
    • Ability to write in a clear and concise manner
    • Ability to effectively present information and respond to questions
    • Technical Skills
    • Proficiency in Microsoft Office Suite, including Word, Excel, PowerPoint, Outlook
    • Must be able to multi-task, be flexible, and be able to prioritize and complete projects effectively and efficiently
    • Cobblestone/sales force experience
    • Ability to work well both independently and in a team environment.
