    Summary

    Under the direction of the General Counsel [GC], the Corporate Counsel will have a wide range of legal responsibilities across the organization, including negotiating customer, vendors, service contracts as well as human resources employment laws.

    Scope of Responsibilities:

    • Draft, negotiate and advise management on a broad range of commercial agreements with customers, vendors, suppliers, licensors, lessors, partners, investors, etc.
    • Prepare and update Company templates to reflect changes in law and best practices, including sales contracts, non-disclosure agreements, employment and consulting contracts, and other standard corporate forms.
    • Assist in preparing Board of Directors and committee meeting materials, including memoranda on various topics, as requested, such as corporate governance, director independence, equity compensation, conflicts of interest and shareholder communications.
    • Oversee maintenance of organizational and stockholder records of the Company and its subsidiaries.
    • Support the Company's HR functions on various employment law issues, as needed.
    • Interface with outside counsel on litigation, intellectual property, international and regulatory matters, as directed by the General Counsel.

    Qualifications | Criteria:

    • JD/Law degree from an ABA-accredited law school, with excellent academic credentials, and admitted to practice in California.
    • 5+ years' experience as a practicing attorney in general corporate, commercial work at a top-tier law firm, a corporation or combination of both. In-house experience is desirable but is not required.
    • Experience in a wide variety of industries preferred.
    • Excellent communication skills both written and verbal with an ability to provide clear and timely risk assessments to the business team and explain legal concepts to non-lawyers.
    • Ability to allocate attention to changing business priorities with little or no supervision in order to support the Company's critical functions.
    • Strong attention to detail, and heavy and varied drafting experience.
    • Strong work ethic and ability to produce high quality work under deadline pressures.
    • Strong business acumen, flexibility and ability to navigate around ambiguity.
