A California-based technology company seeks a General Counsel to join their dynamic team. As the General Counsel, Compliance, you’ll be supporting company’s business leaders and stakeholders in the management and handling of compliance matters and will be a key member of the legal leadership team.
Responsibilities:
- Create a compliant legal system suitable for a public company
- Responsible for reviewing all contracts including supply chain contracts, etc.
- Lead capital related legal activities including merger and acquisition, legal negotiations and document drafting
- Respond to other public company compliance requirements and litigation matters
- Manager other legal functions that support corporate internal operation including IP, labor and others.
- Develop and implement a comprehensive program for legal and ethical compliance that meets all applicable legal requirements and industry standards
- Implement and manage compliance policies, protocols, and training
- Audit company procedures, policies, and practices to identify potential risks
- Investigate allegations of legal and ethical compliance violations
- Develop and implement risk-based action plans in connection with internal audits and investigations
- Coordinate with regulatory and government officials at various levels and respond to inquiries
- Manage government reporting on various compliance matters
- Counsel company management on legal and ethical compliance laws, regulations, and requirements
- Develop and implement training regimens for compliance topics
- Work seamlessly and collaboratively within the legal team and as a legal business partner to multiple internal business stakeholders
Qualifications:
- Strong expertise in and corporate law;
- Strong expertise in securities law;
- Extensive experience with contract law including leading negotiations, overseeing purchase contracts and capital transactions;
- Strong expertise in labor law;
- Expertise in investigation and litigation is a plus;
- As we are a public company, good understanding of SEC is a plus.
- Minimum of 15 years of in-house corporate legal counsel, law firm experience will be a plus
- Must have one of the following industries (ranked by priority): high-tech consumer electronics, internet AI, and/or automotive.
- Must have in-depth understanding of the industry and be able to combine the legal and business perspectives to make the optimal decision.
- Law degree (J.D.) from ABA-accredited institution
- Eligible to practice law in California (either as in-house counsel or admission to State Bar)
