    Corporate Associate Attorney

    Location: Century City, California
    Practice Area: Corporate Law

    Direct Counsel is seeking an Associate with 4 to 6 years of experience to join a prestigious Am Law 100 firm in their Corporate practice group. This position offers an exciting opportunity to work with senior corporate attorneys on complex business transactions, including real estate joint ventures, securities offerings, and M&A.

    Key Responsibilities

    • Draft LLC agreements , LP agreements , and other related corporate documentation.

    • Handle real estate joint ventures , including preferred equity joint ventures , and securities offerings related to joint ventures and syndications.

    • Work on fund formation matters, including real estate, venture capital , and private equity funds.

    • Support M &A transactions, including asset and equity purchase transactions.

    • Advise on securities transactional and regulatory matters , including compliance with the Investment Company Act , Investment Advisers Act , Securities Act , and other regulatory requirements.

    Qualifications

    • Education: J.D. from a top-tier law school with excellent academic credentials.

    • Experience: 4 to 6 years of experience with real estate joint ventures , fund formation , M &A, and securities transactions.

    • Skills: Strong analytical , verbal , and written communication skills. Proven experience with client interaction is preferred.

    • State Bar Admission: Must be admitted to the State Bar of California.

    • Other: Previous experience at an AmLaw 200 firm is preferred.

    Work Environment & Compensation

    • Salary Range: $250,000 to $300,000 (actual salary will depend on experience, qualifications, and other factors).
