Seeking an attorney with 2–6 years of corporate transactional experience to support a growing non-litigation, corporate practice based in Denver or Boulder. This role focuses on advising emerging and established companies on a broad range of corporate matters, including financings, M&A, and governance, while working closely with clients and internal legal teams.
Responsibilities:
- Review, draft, and negotiate corporate agreements, including entity formations, early-stage equity financings, credit facilities, and mergers and acquisitions
- Conduct due diligence, prepare disclosure schedules, and manage capitalization tables
- Advise on corporate governance matters, including board and stockholder consents, minutes, and certificates
- Support transaction execution through preparation of correspondence, memoranda, and related documentation
- Collaborate with clients and subject matter experts to ensure agreements align with business objectives and compliance requirements
- Manage multiple matters simultaneously in a fast-paced, deadline-driven environment
Qualifications:
- Licensed in Colorado or willing to obtain Colorado licensure
- 2–6 years of experience in corporate transactions at a top national or international law firm
- Strong drafting, communication, and negotiation skills with the ability to explain complex legal issues clearly
- Highly organized, detail-oriented, and able to independently manage competing priorities
- Strong interpersonal skills with a collaborative, team-oriented mindset
- Proficiency with Microsoft Office and related legal productivity tools
