** The Role:** We are seeking an experienced Corporate & Business Attorney to join our growing transactional practice. In this role, you will act as a trusted advisor to entrepreneurs, executives, and closely held businesses, managing their legal needs from formation to exit. Because we are a full-service firm, you will have the unique opportunity to collaborate with our Tax, Estate Planning, and Employment teams to provide comprehensive solutions for our clients.

** What You Will Do:**

• ** Corporate Governance & Formation:** Advise clients on entity selection (LLC, S-Corp, C-Corp, Partnerships) and draft operating agreements, bylaws, and shareholder agreements.
• ** Mergers & Acquisitions:** Structure, draft, and negotiate complex M&A transactions, asset purchases, and stock purchase agreements.
• ** Commercial Contracts:** Draft, review, and negotiate a wide variety of business agreements, including vendor contracts, licensing agreements, and executive compensation plans.
• ** Business Counseling:** Act as outside general counsel for clients, advising on day-to-day operational compliance, risk management, and asset protection strategies.

** What We Are Looking For (Requirements):**

• ** Licensing:** Must possess an active, in-good-standing license to practice law in the State of California (California State Bar). This is non-negotiable.
• ** Experience:** 4 to 8+ years of dedicated experience in Corporate Law, Business Transactions, or M&A.
• ** Drafting Expertise:** Exceptional contract drafting and negotiation skills with a meticulous eye for detail.
• ** Client-Facing Confidence:** The ability to communicate complex legal and tax concepts to business owners in a practical, easy-to-understand manner.
• ** Entrepreneurial Mindset:** A self-starter who thrives in a collaborative, cross-functional firm environment.
