Join our team as a Corporate Paralegal, where you’ll play a critical role in supporting our legal and compliance functions while contributing to our organization’s success. We’re looking for a proactive problem-solver with exceptional organizational skills, strong attention to detail, and a team-oriented mindset.

    RESPONSIBILITIES:

    Provide direct support to the General Counsel and Associate Litigation Counsel, including the preparation of correspondence, reports, and review of corporate agreements, purchase sale agreements, asset purchase agreements, vendor contracts, and loan agreements.

    Maintain corporate governance records, including resolutions, and ownership structure

    File regulatory compliance reports such as annual reports

    Prepare documentation and file entity formation documents for new entities including Certificates of Formation, Certificates of Limited Partnership, Articles/Certificates of Incorporation, By-Laws, Applications for Employer Identification Numbers, Foreign Qualifications, and related documents, as well as amendments, reinstatements, mergers, conversions, dissolutions, etc. Order Certificates of Good Standing and other certified documents. Work with and maintain the relationship with the Registered Agent.

    Assist operations and finance teams with registration and maintenance of various franchisee, tax, and business permits and corporate licenses

    Draft varying correspondence and fulfill requests from agencies, including TABC, tax payments, or others, as needed by Legal or other departments.

    Support in acquisition and loan transactions; facilitate execution of documents, and assist with closing and post-closing matters. Respond to bank requests for corporate documentation or structure.

    Coordinate with outside counsel on a variety of transactions and projects

    Liaison between leadership, vendors, and brand management

    Conduct research and compile databases

    Analyze legal invoices and process accounts.

    Produce documents related to the development and implementation of corporate policies and templates

    Work with other members of the legal team on special projects and initiatives

    Assist in handling, researching, maintaining, and applying for trademarks.

    Act as notary public assisting in the notarization of diverse documentation

    Assist in the renewal, extensions, and termination of Franchise Agreements. Review of FDA’s. Correspond with operators regarding notices of operational default.

    Handle all Service of Process; reroute notices communicating with different departments indicating deadlines and following up with responses (wage claims, liens, garnishments, code violations, law firm and vendor letters, worker's compensation, etc.)

    Litigation support - Handle intake of existing and new lawsuits and communicate with the Associate Litigation Counsel and Risk Management Department. Set up new files, calendaring, and coordinate settlement and attorney’s fees payments. Maintain a list of active lawsuits.

    Handle small claims cases.

    Liaison with Eminent Domain counsel. Gather information, prepare documentation, and attend mediations.

    Intake and rerouting of all correspondence received by legal. Scan, file, and communicate with appropriate parties.

    REQUIREMENTS:

    Must have at least 3 years of experience working with corporate documents, and corporate filings.

    Transactional experience and M&A due diligence are preferred.
