    ABOUT THE ROLE

    You'll advise public companies and underwriters on equity and debt offerings under the Securities Act of 1933, handle the full IPO process, follow-on offerings, and Rule 144A private placements, manage SEC disclosure obligations (10-Ks, 10-Qs, 8-Ks, proxy statements), and advise on NYSE/Nasdaq listing requirements and corporate governance. You will work with significant independence on key client workstreams.

    REQUIREMENTS

    Experience: 8--12 years in corporate securities law with a focus on public company representation and capital markets transactions

    \- Substantial, demonstrable experience with offerings under the Securities Act of 1933 and Exchange Act reporting obligations

    \- Deep expertise in SEC disclosure, stock exchange listing rules, and public company reporting

    \- Florida Bar admission or eligibility for admission

    \- Major law firm background strongly preferred
