    To provide legal support to the General Counsel, the Company’s Legal and Risk Management teams and assist with all corporate transactions and the preparation of documents necessary to company with federal, state, and local regulations in the conduct of business activities

    ESSENTIAL FUNCTIONS: 

     

    • Assist with all merger, acquisition or divestiture transactions
    • Setup and maintain data rooms for various purposes and participate in due diligence processes, prepare schedules to sale agreements and related documents, and assist in the preparation of closing documents
    • Assist in the preparation of SEC filings
    • Assist in the closing of financing transactions
    • Provide assistance in reviewing standard contracts
    • Prepare/conduct UCC filings/searches
    • Assist in the preparation of integral corporate documents/materials
    • Work with the IRS and other government and/or regulatory bodies
    • Respond to requests for information
    • Assist with compliance programs
    • Perform legal research
    • Maintain legal files and records
    • Perform special assignments/projects under the supervision of an attorney
    • Manage the workflow requests for agreements from business clients and their assignments within the Legal Department, as requested
    • Assist with NDA review and tracking, as requested
    • Manage relationship with Company’s registered agent
    • Assist with special projects, as requested

    • Interest in legal field as demonstrated through undergraduate coursework, extracurricular activities, jobs or internships

    • Must possess a high level of professionalism and flexibility in the performance of duties and possess very high ethical standards and the ability to handle highly confidential/sensitive information appropriately
    • Relies on experience and judgement to plan and accomplish goals

    Required Experience

    • Bachelor’s Degree or any equivalent combination of education and experience sufficient to successfully perform the essential functions of the job
    • 2-5 years’ experience
    • Familiar with a variety of the field’s concepts, practices and procedures
