    Job Description

    JOB PURPOSE SUMMARY: Liaising with the c-suite, executive directors, and other internal stakeholders, to ensure that all contracts and other legal documents are in compliance with applicable requirements, minimize liability and optimize the use of C-Path funding.

    ESSENTIAL JOB DUTIES AND RESPONSIBILITIES:

    • Drawing up, negotiating, and revising legal contracts, such as confidentiality agreements, data collaboration agreements, consortium member agreements, and service agreements.
    • Provide legal advice on contract compliance, intellectual property, data sharing, data security, HIPAA, GDPR, indemnification, and confidentiality issues.
    • Ensure that contracts and proposals are properly entered in SharePoint and securely maintained.
    • Review and provide legal guidance on contracts.
    • Provide input to strategic decisions that affect the functional area of responsibility.
    • Resolve escalated contract issues arising from operations and requiring coordination with other departments.
    • Develop, assess and negotiate contracts on non-disclosure, consulting, service, consignments, terms and conditions, and commercial documents for operations, programs, and consortia.
    • Ensure consistency of contract terms with C-Path's policies and goals.
    • Expedite and review contracts from C-Path's partners, funders, consortium members, and other external parties.
    • Review and negotiate contracts.
    • Reduce C-Path's contract risk.
    • Propose and implement best practices to enhance contract review processes.

    EDUCATION AND TRAINING:

    • Bachelor's degree and Juris Doctor.
    • Licensed and in good standing with the State Bar of Arizona
    • 5+years' contracting experience in industry and/or academia (biotechnology, pharma, software solutions)
    • Knowledge of data security and data privacy issues, such as HIPAA and GDPR

    KNOWLEDGE/SKILLS/ABILITIES:

    • Strong analytical skills with the ability to collect, organize, analyze, and disseminate significant amounts of information with attention to detail and accuracy
    • Excellent verbal and written communication, interpersonal and problem solving/decision-making skills
    • Excellent organizational skills
    • Demonstrated negotiation skills
    • Works well independently and in a team-oriented, collaborative environment
    • Proficient use of Microsoft Office Suite and teleconferencing technology
    • Proficient use of standard office equipment: PC, copier, printer, scanner, etc.
