    Job Description

    GENERAL FUNCTION

    • To provide high level paralegal support to the Associate General Counsel (“AGC”)

    DUTIES/RESPONSIBILITIES

    • Review and negotiate, per AGC/department guidelines, real estate lease agreements, estoppels, lease amendments, lease options and various other documents relating to the maintenance of over 600 retail locations throughout Canada and the United States
    • Review and negotiate, per AGC/department guidelines, NDAs and contracts with third parties
    • Support attorneys in all stages of corporate and commercial transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities related to a global group of more than 65 business entities in over 5 countries.
    • Prepare and organize documents for and assist in closing corporate and commercial transactions including agreements, certificates, checklists and other documents
    • Manage all transactional and governance matters related to monthly receivable sales, including coordination with international counterparties
    • Support AGC in the management and maintenance of subsidiary entities, including among others:
      • draft and file corporate organizational/maintenance documents for global group of more than 63 entities in 3 countries
      • prepare resolutions/consents for board and officer changes, handle related execution and filing matters, coordinate with registered agents in foreign countries, and update minute books and records
      • prepare documents for formations, amendments, mergers, and dissolutions of all types of business entities, including collaborating with other departments such as vendor management, product, marketing, operations, credit risk, accounting, tax, and treasury.
      • annual filings of all companies
      • maintain listing of directors/officers
      • maintain organizational chart of companies
      • draft LLC agreements, articles of incorporation, certificates of formation, bylaws, shareholder/member and director/manager resolutions and consents, powers of attorney, certificates, agreements, and other corporate documents
    • Create and maintain hard copy and digital minute books, certificates, ledgers, and transfer instruments
    • Support AGC and outside counsel with respect to maintenance of all trademarks
    • Support legal and business unit personnel, as needed (e.g. M&A and other transactional matters, due diligence, audits, insurance matters, litigation responses)
    • Responsible for certain projects, including ensuring projects are properly reviewed and timely actions are taken for each project; providing solutions and suggested methods for handling projects; coordinating with other DFG personnel outside Legal Department to ensure proper handling of projects; and suggesting and developing procedures for handling projects to increase Legal Department efficiencies
    • Other duties as assigned by AGC
  • Qualifications

    Qualifications

    EDUCATION

    • BA or BS is required
    • Paralegal Certificate is preferred

    EXPERIENCE

    • 4+ years’ experience as a corporate paralegal for an in-house legal department required
    • Private equity owned company experience is preferred
    • National law firm experience is preferred
    • Pennsylvania/state notary is preferred

    SKILLS

    • Candidate must be meticulous, detail-oriented, able to work efficiently within tight deadlines, and able to take direction and work with autonomy
    • Excellent MS Office skills are required
    • Experience preparing routine director/manager and shareholder/member resolutions, minutes, and written consents is strongly preferred
    • Experience maintaining a portfolio of corporate subsidiaries, including non-US companies, is strongly preferred
    • Experience with a CLM tool is preferred
