Mid-sized, reputable CHICAGO LOOP CORPORATE & TRANSACTIONAL LAW FIRM seeks experienced Corporate Transactional Associate with skills and experience to join its team in the Chicago Loop.

IDEAL CANDIDATE HAS 3 + YEARS IL CORPORATE TRANSACTIONAL LAW EXPERIENCE BUT WILL CONSIDER LESS EXPERIENCE.

Seeking corporate attorney with M&A experience on the buyer side and seller side (such as experience drafting and negotiating asset, stock, merger, employment, escrow, LLC operating, shareholder, and other agreements typically relevant in these types of transactions) as well as strong corporate formation and commercial contracting experience for non-public entities.

Duties for typical matters include representing buyers and sellers in M&A transactions with an emphasis on private equity transactions and private target M&A by preparing equity and asset purchase agreements and ancillary documentation; conducting and summarizing legal due diligence; drafting and negotiating commercial leases; preparing distribution agreements for manufacturers and distributors; drafting and reviewing commercial contracts, including employment and management agreements; and filing annual reports for corporations.

RESPONSIBILITIES INCLUDE:

• Possess a working knowledge and understanding of corporate transactional work in M&A, private equity, commercial real estate, commercial loan transactions.
• Conduct due diligence, compliance, and contract reviews.
• Draft corporate formation documents and other supporting documentation for transactions, including due diligence and disclosure.

The candidate should demonstrate transactional skills, including structuring, drafting, reviewing, and negotiating sophisticated contracts; reviewing and understanding intricate regulations and statutes; and managing demanding complex multi-faceted transactions.

Must have significant attention to detail and ability to interact successfully with clients, investment bankers, commercial lenders, and other advisors
