Our Am Law 200 client is seeking a mid-level associate to join their growing Emerging Companies/Venture Capital team. This position is available in their New York, Palo Alto, Washington, D.C., or Roseland, NJ office.

Key Responsibilities:

• Handle corporate and transactional matters , with a focus on venture financings.
• Manage deal execution , ensuring smooth and efficient transaction processes.
• Supervise and mentor junior associates , providing training and oversight.
• Advise emerging growth companies, investors, and venture capital firms on legal and strategic matters.
• Draft, negotiate, and review corporate governance documents, financing agreements, and related contracts.
• Collaborate with cross-functional teams to provide strategic legal counsel on a range of business matters.
• Maintain strong client relationships and play an integral role in business development efforts.

Qualifications:

• 3 – 6 years of experience handling corporate transactions , including venture financings.
• Strong knowledge of private company financing structures and corporate governance.
• Ability to manage multiple transactions and deadlines in a fast-paced environment.
• Experience supervising and training junior associates.
• Excellent drafting, negotiation, and analytical skills.
• Bar admission in the jurisdiction of the respective office location is preferred.

Compensation & Benefits:

• Salary range : $260,000 – $390,000 (for class years 2022 through 2019).
