    Job Description

    As Executive Vice President & General Counsel, you will serve as the company’s top legal advisor and a strategic business partner to the CEO, Board of Directors, and executive leadership. You will oversee all legal matters affecting the business—including corporate governance, capital markets activity, SEC and Nasdaq compliance, commercial licensing, regulatory strategy, and risk management—while helping to shape our Bitcoin and AI-driven innovation agenda.

    This is a highly strategic yet hands-on leadership role: you will lead and scale the legal function while staying closely involved in key initiatives, from board governance to digital asset regulation to enterprise risk management. Success in this position requires comfort operating in a fast-paced public company environment with significant regulatory complexity and market visibility.

    Key Responsibilities

    • Serve as a trusted advisor to the CEO, Board, and executive team on legal, strategic, and risk matters.
    • Oversee all legal functions, including corporate governance, securities, regulatory and government affairs, litigation, employment, intellectual property, compliance, and enterprise risk.
    • Drive all legal aspects of capital markets activities, including equity and debt offerings, investor communications, and public disclosures.
    • Lead public company governance and SEC/Nasdaq reporting, ensuring compliance with all legal and regulatory requirements.
    • Develop and lead custody risk management strategies, in partnership with Finance, Treasury, and other key stakeholders.
    • Support treasury operations and strategy, particularly as they relate to Bitcoin regulatory considerations, asset structuring, and investment policy compliance.
    • Monitor emerging regulatory developments in digital assets, AI, cybersecurity, and global capital markets and advise leadership accordingly.
    • Efficiently manage external counsel relationships and legal budgets.
    • Lead commercial licensing function.
    • Collaborate cross-functionally with Finance, Investor Relations, Product, HR, and other teams to align legal strategies with business objectives.
    • Provide legal leadership across global operations, overseeing cross-border compliance, regulatory frameworks, and employment law in support of a diverse, multinational workforce and customer base.
    • Support M&A, strategic partnerships and other corporate transactions from a legal and risk standpoint.
    • Promote a culture of integrity, ethics, and transparency while ensuring business agility.
  • Qualifications

    Qualifications

    • J.D. from a top-tier law school; active license to practice law in the U.S.
    • 15+ years of legal experience, with at least 5 years in a General Counsel or senior legal executive role at a public company.
    • Expertise in corporate governance, capital markets, securities law, SEC reporting, regulatory compliance, and commercial licensing.
    • Bitcoin enthusiast with experience advising on enterprise risk, treasury management, or digital asset matters (preferred).
    • Experience supporting international business operations or customer bases across multiple regions.
    • Strong understanding of regulatory issues facing public companies and emerging technologies such as Bitcoin and AI.
    • Demonstrated ability to navigate legal complexity in dynamic, high-growth business environments.
    • Proven leadership, with a track record of scaling and managing high-performing legal teams.
    • Exceptional judgment, communication skills, and business acumen.
