    Job Description

    Exelixis is seeking an experienced temporary Contracts Manager II to join the Legal Department’s G&A Contracting group, reporting to the Senior Director of Legal Services. You will be an integral member of the Legal Department and will have the opportunity to operate independently in a dynamic, collegial environment. You will closely partner and collaborate with various G&A departments across the organization, with a focus on supporting the Digital Transformation and IT functions and serve as a subject matter expert on IT transactions for other members of the Contracts Manager team.

    ESSENTIAL DUTIES AND RESPONSIBILITIES:  •    Draft, negotiate, and manage a wide range of contracts, including confidentiality agreements, consulting agreements, master service agreements, master license and service agreements, software license agreements, cloud agreements (SaaS, PaaS, and IaaS), task orders/statements of work, and amendments. •    Provide advice and guidance on existing agreements. •    Identify risks and communicate them concisely with consequences and options to appropriate internal decision-makers for discussion and resolution. •    Liaise with various internal clients effectively to address legal and business questions. •    Advise and support contracts managers in their negotiations.  •    Support the development of contracting playbooks and ongoing improvement of templates. •    Participate in improving in the quality, efficiency, and effectiveness of contracting systems, processes, and procedures. •    Other duties as assigned. SUPERVISORY RESPONSIBILITIES: •    None.

    EDUCATION/EXPERIENCE/KNOWLEDGE & SKILLS:  Education: •    BS/BA degree in related discipline and nine years of related experience. •    JD preferred and one years of related experience. •    Equivalent combination of education and experience.

    Experience: •    Transactional experience supporting information technology (software, hardware, and cloud agreements). •    Life sciences experience desired, but not necessary.

    Knowledge/Skills: •    Demonstrable experience in SaaS, cloud computing, enterprise software, and cybersecurity. •    Be a collegial team player with demonstrated drive and initiative. •    Have a collaborative client-service mindset and work independently with clients to meet their needs. •    Be able to communicate effectively with outside vendors/partners and serve as a liaison among outside counsel, in-house attorneys and business partners, and proactively communicate regarding relevant issues and deadlines. •    Take ownership of and responsibility for your work product and independently deliver on asks timely. •    Mature judgment and a high sense of integrity and professionalism. •    Be creative and strategic om providing practical advice that balances risks with the business objectives. •    Detail-oriented, excellent organizational skills, and ability to manage multiple transactions and projects simultaneously, sometimes under tight deadlines. •    Have the flexibility to re-prioritize on short time frames. •    Be able to implement organizational and team objectives professionally and timely. •    Have a sense of humor and perspective. •    Strong computer skills in database management and document preparation (Word, PowerPoint, Excel).
