    Job Description

     

    SUMMARY: The General Counsel reports directly to the CEO. They are responsible for negotiating, writing, reviewing, enforcing, summarizing, researching and executing a wide variety of agreements, including marketing, sales, employment, agreements, licensing agreements, real estate leases, confidentiality agreements, nondisclosure agreements, and other general business contracts.

     

    ESSENTIAL DUTIES JOB TASKS/DUTIES (NOT ALL INCLUSIVE):

    • Negotiate, write, and execute agreements and contracts.
    • Offer expert counsel and legal insight on a variety of legal issues.
    • Advise executives within the company and work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, and Human Resources.
    • Manage various projects and deadlines.
    • Advise executives on contract status, legal risks and business terms of various deals.
    • Explain legal ramifications of the decision-making process.
    • Draft terms and conditions in agreements.
    • Ensure legal objectives are met.
    • Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
    • Keep abreast of legislative changes that may affect the company and its affiliates, as they happen.
    • Perform pre-litigation work to minimize risks and maximize legal rights.
    • Participate in the litigation process, manage outside counsel, develop and implement legal strategies designed to minimize risk to the Company.
    • Review advertising and marketing materials to ensure compliance with legal requirements.
    • Provide legal guidance on HR, employment and personnel matters. Manage HR functions.
    • Develop solutions to complex legal questions.
    • Evaluate and weigh multiple inputs and impacts of any decision or course of action.
    • Anticipate issues and estimate risks strategically.
    • Identify proactive solutions that will eliminate or mitigate risks.
    • Base your decision-making process on ethics and integrity.
    • Able to work independently.

     

    QUALIFICATIONS EDUCATION AND/OR EXPERIENCE:

    · Valid California State Bar

    · Minimum 7 years’ experience as an In-House General Counsel.

     

    JOB KNOWLEDGE, CORE COMPETENCIES AND EXPECTATIONS:

    · Proven general counseling experience in business environment.

    · Overall broad legal knowledge (corporate law, litigation, labor law, intellectual property, etc).

    · In-depth understanding of how legal issues affect organizations.

    · Ability to develop legal strategy and objectives.

    · Well-versed in how business operate with financial acumen and ability to negotiate effectively.

    · High degree of professional ethics, integrity and gravitas.

    · Excellent judgement and analytical skills.

    · First class interpersonal and communication skills.

    · Ability to actively anticipate and mitigate potential legal issues or risks and to “see around the corner”.

    · Ability to look at an issue and identify what is missing as well as what is there.
