Foundry Law is a boutique transactional law firm with a focus on supporting entrepreneurs, startups, and emerging companies. The firm is based in Seattle, Washington, and is opening an office in Kansas City, MO in the new year. Our practice includes corporate formations and governance, business acquisitions, securities, intellectual property, and trademark counseling, commercial contract negotiations, employment and contracting, and general outside counsel services. We are seeking a full-time Attorney with 5+ years of transactional legal experience with the confidence and ability to manage a wide range of general business transactions and clients on a weekly basis. This role will include serving clients in Seattle, WA along with the Kansas City metro area. You will be expected to be responsive to clients, conduct contract reviews, draft a wide range of agreements, advise on corporate structure, assist in financing deals, support due diligence for acquisitions, and other general counsel matters. You will be supported by the managing attorneys, and we will look to your interest in taking the lead on certain practice areas as you grow with us. Salary: $90,000-$115,000 DOE; Annual Bonuses; % of origination Benefits: • Remote Work option • Open PTO policy • True work-life balance (no evening or weekend work expectation) • Monthly healthcare stipend (as needed) • Technology/office space stipend to support home office (as needed) • Simple IRA matching Responsibilities: • Draft, review, and modify commercial contracts including NDAs, SAAS agreements, MSAs, global operations agreements, terms of service, privacy policies, independent contractor and vendor agreements, etc. • Guide clients in navigating general counsel needs by providing legal advice on governance, company policies, intellectual property, employment, operations, and compliance issues • Manage a variety of business formations and transactions including company formations, shareholder agreements, stock issuances, operating agreements, etc. We are a collaborative team so you will be supported in handling these transactions. Qualifications: • Ability to collaborate on projects, as we are one practice group, with good interpersonal skills (both within the firm and with clients) • Proactive and diligent in managing clients, projects, and client priorities • Strong time management skills with the ability to balance projects with competing priorities • Attentive to detail • Possess a license to practice law and be a member in good standing of the State Bar Association of Washington or Missouri • Able to use MS Office and Google Suite - proficiently. We use Google platforms for collaboration within the team and with clients • Analytical, negotiation, and communication skills are basic expectations • 5+ years of experience as a corporate lawyer, a staff attorney, or associate attorney for a corporate law firm, or as an in-house counsel for a corporation Compensation: $90,000 - $115,000 yearly
