    PRIMARY EMPLOYMENT OBJECTIVES

    The Global Head of Contracts & Compliance will manage, prepare, negotiate, and administer contracts for military, government, and commercial business in accordance with company policies, legal requirements, and customer/government specifications/regulations. The incumbent will also drive the company's policies, practices and procedures to ensure that all aspects of compliance including trade (including ITAR), export, import, cyber, document control, corrupt practices, OSHA are understood, implemented and observed throughout the business. The incumbent will be part of a team dedicated to identifying, maturing and bringing to market solutions that represent operational benefits to the user and significant and sustainable growth for Galvion. Working within Business Unit multi-disciplinary teams the post will provide leadership to the functional organization, support the development and growth of employees including mandatory compliance training, develop a vision for the function and support and make recommendations on the overall strategy for the business, provide business advice to the CEO/CFO and ensure the interests of the company are protected.

    SPECIFIC ESSENTIAL DUTIES & RESPONSIBILITIES

    • Manage and lead the Business Legal organization including Compliance activities
    • Provide life-cycle contracts management of a variety of business agreements including prime contracts, subcontracts, task, delivery, purchase orders, consulting agreements, teaming agreements, and non-disclosure agreements.
    • Provide subject matter expertise on government contracting process and procedures needed to comply with the FAR, FAR supplements, and other US and International procurement laws and regulations.
    • Advise management of contractual rights and obligations, risk mitigation strategies, and provide interpretation of terms and conditions.
    • Provide oversight of the Company's Trade Compliance and compliance with all EXIM, cyber, information security and control, corrupt practices and OSHA legislation.
    • Ensure that all mandatory training activities for all staff to meet compliance legislation are implemented
    • Participate in proposal and business development activities, including development of proposals, especially with respect to RFP/RFQ analysis including risk assessment and compliance, the legal offer, pricing and negotiation, and preparation of proposal cost/price volumes.
    • Provide oversight of the company's contract management process in accordance with established corporate documents and procedures.
    • Develop, implement, and maintain Contract policies and procedures ensuring adequate policies are in place to ensure compliance
    • Oversee and ensure that corporate information is properly disclosed in various federal repositories such as SAM.gov and ensures proper reporting compliance
    • Ensure proper reporting for activities related to Contractual Data Requirements
    • Maintain professional and dependable relationships with both internal and external customers.
    • Lead, teach, and encourage team members towards professional development
    • Support acquisition, due diligence and integration activities as required

    KNOWLEDGE, SKILL & EXPERIENCE REQUIREMENTS

    · Extensive Commercial experience (15 years minimum) in managing complex contractual business arrangements

    · Masters Degree in Business or Law required

    · Strong negotiating and persuasive communication skills

    · Subject matter expert in the FAR, government contracting rules and regulations

    · Subject matter expert in all compliance requirements including but not limited to ITAR, CCG and cyber security requirements

    · Demonstrated leadership skills required. Ability to work within a multi-disciplinary, geographically dispersed team acting as both a leader and key contributor

    · Decisive yet collaborative decision making and problem solving. Embraces the ownership and responsibility for the future success of the company

    · Excellent organizational skills and ability to multitask; Ability to effectively prioritize and multi-task in a fast-paced environment

    · The ability to guide teams and individuals through periods of ambiguity, risk and opportunity to meet deadlines and operational targets

    · Entrepreneurial and driven leader with proven ability to contribute to growing the business · Requires travel to Portsmouth, NH or Marlborough, MA facility multiple times a week
